Scope of Services — Videographer Engagement in China Beijing

This Purchase Order is issued by Horizon Media Productions Ltd. (hereinafter referred to as the "Buyer") to Capital Lens Videography Co., Ltd. (hereinafter referred to as the "Supplier") for the provision of professional Videographer services to be performed exclusively within the metropolitan area of China Beijing. The Supplier shall deploy a qualified lead Videographer along with a minimum support crew of three (3) additional technicians to execute all filming, recording, and post-production deliverables as specified herein. All on-site work, including but not limited to location scouting, principal photography, b-roll capture, and on-set direction, shall take place at designated venues within the administrative boundaries of China Beijing, including but not limited to the Chaoyang, Haidian, and Dongcheng districts.

Terms and Conditions
  1. Acceptance of Purchase Order: This Purchase Order becomes a binding agreement upon written acceptance by the Supplier. The Supplier shall confirm acceptance in writing within five (5) business days of the date of issue. Failure to confirm within this period shall be construed as rejection of this Purchase Order.
  2. Service Location: All Videographer services, filming activities, and on-site production work shall be conducted exclusively within the city of China Beijing. The Supplier is responsible for obtaining all necessary local filming permits, location clearances, and regulatory approvals from the China Beijing Municipal Radio and Television Administration and relevant district-level authorities prior to the commencement of any principal photography.
  3. Qualifications of the Videographer: The lead Videographer assigned to this engagement must hold a minimum of eight (8) years of professional experience in commercial and corporate videography. The Videographer must be a registered practitioner in China Beijing and must possess a valid Chinese work permit if the individual is a non-PRC national. The Buyer reserves the right to review the Videographer's portfolio and references prior to the start date.
  4. Deliverables: The Supplier shall deliver all final edited video content, raw footage, project files, and associated metadata to the Buyer no later than August 15, 2025. Deliverables shall be provided in both physical media (dual 12TB drives) and via secure cloud transfer hosted at a data center located in China Beijing to comply with PRC data residency regulations.
  5. Payment Schedule: A 30% advance payment (USD 19,334.40) shall be due within ten (10) business days of Purchase Order acceptance. The remaining 70% (USD 45,113.60) shall be due within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. All payments shall be made via international wire transfer to the Supplier's designated bank account in China Beijing.
  6. Intellectual Property: Upon full and final payment, all intellectual property rights, copyrights, and licensing rights in the final video deliverables shall vest exclusively in the Buyer. The Supplier retains the right to include anonymized stills in their professional portfolio, subject to prior written approval from the Buyer.
  7. Compliance with Local Law: The Supplier warrants that all services rendered under this Purchase Order shall comply with the laws of the People's Republic of China, including but not limited to the PRC Film and Television Production Regulations, the Cybersecurity Law of the PRC, and all applicable China Beijing municipal ordinances governing commercial filming activities.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Beijing, epidemics, or changes in PRC regulatory policy. Affected parties must notify the other in writing within forty-eight (48) hours of the occurrence.
  9. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved through binding arbitration administered by the China International Economic and Trade Arbitration Commission (CIETAC) in China Beijing, in accordance with its then-current arbitration rules. The language of arbitration shall be English.
  10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict-of-law principles.
