2. Description of Services — Videographer Engagement in China Shanghai

This Purchase Order is issued by Meridian Global Media Group Ltd. (hereinafter referred to as the "Buyer") to Shanghai LensCraft Visual Productions Co., Ltd. (hereinafter referred to as the "Supplier") for the provision of professional Videographer services to be executed exclusively within the metropolitan area of China Shanghai. The Supplier shall assign a qualified lead Videographer, supported by a minimum team of three (3) additional crew members, to capture, produce, and deliver high-resolution video content for the Buyer's corporate brand campaign titled "Shanghai Horizons 2025."

The Videographer engagement in China Shanghai shall encompass on-location filming at no fewer than five (5) designated sites across the city, including but not limited to the Bund waterfront, the Lujiazui financial district, the historic French Concession, the Yu Garden cultural heritage zone, and the West Bund Art District. All filming activities must comply with the local regulations of the People's Republic of China regarding commercial photography and videography permits, and the Supplier is solely responsible for obtaining all necessary location permits, filming licenses, and municipal approvals required to operate a Videographer crew in China Shanghai.

4. Payment Terms

Payment for this Purchase Order shall be made in Renminbi (CNY) via bank transfer to the Supplier's designated account in China Shanghai. The payment schedule is as follows:

5. Terms and Conditions
  1. Scope of Work: The Supplier's lead Videographer and supporting crew shall perform all filming duties strictly within the administrative boundaries of China Shanghai. Any request to extend filming to other Chinese cities or provinces shall require a written amendment to this Purchase Order.
  2. Equipment Standards: All video capture equipment deployed by the Videographer team in China Shanghai must be no older than three (3) years and must meet 8K resolution capability. The Supplier warrants that all gear is fully insured for operation within China Shanghai.
  3. Intellectual Property: Upon full payment, all raw footage, edited masters, and derivative works produced by the Videographer in China Shanghai shall become the sole and exclusive property of the Buyer. The Supplier retains no right to use, reproduce, or distribute the content for portfolio purposes without prior written consent.
  4. Compliance & Permits: The Supplier guarantees that the Videographer engagement in China Shanghai shall fully comply with all applicable laws of the People's Republic of China, including but not limited to the Film and Television Administration regulations, data security laws, and local municipal filming ordinances. The Supplier bears all liability for non-compliance.
  5. Delivery Schedule: Raw footage shall be delivered to the Buyer within five (5) business days of the final filming day in China Shanghai. The fully edited and color-graded master video shall be delivered no later than July 25, 2025.
  6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather affecting filming in China Shanghai, government-mandated shutdowns, or public health emergencies. In such cases, the Videographer schedule shall be rescheduled at no additional cost to the Buyer.
  7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all Videographer services rendered in China Shanghai up to the date of termination.
  8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from this Purchase Order related to the Videographer services in China Shanghai shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC).
  9. Confidentiality: Both parties agree to maintain strict confidentiality regarding the terms of this Purchase Order, the content of the Videographer production, and any proprietary information exchanged during the engagement in China Shanghai.
6. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the Videographer services to be performed in China Shanghai. This document constitutes a binding agreement upon execution by both authorized representatives.
