- This Purchase Order constitutes a binding agreement between Andina Media Productions S.A.S. (hereinafter "the Buyer") and Estudio Visual Andino (hereinafter "the Videographer Vendor") for the provision of professional videography services to be performed in Colombia Bogotá, Department of Cundinamarca, Republic of Colombia.
- The Videographer Vendor shall provide all equipment, crew, and technical expertise necessary to fulfill the services described in the line items above. All filming shall take place at the Buyer's designated venue located in Colombia Bogotá unless otherwise agreed in writing.
- Payment shall be made within thirty (30) calendar days from the date of invoice issuance, via bank transfer to the account specified in the Vendor Information section. The Buyer reserves the right to withhold payment until final deliverables are accepted in writing.
- The Videographer Vendor guarantees that all footage, edits, and deliverables shall be free of third-party intellectual property claims. Any music, stock footage, or licensed assets used in the final production shall be fully cleared for commercial use in Colombia and internationally.
- Should the Videographer Vendor fail to deliver the final edited content by the Required Delivery Date of July 15, 2025, a penalty of 2% of the total Purchase Order value per calendar day of delay shall apply, up to a maximum of 15%.
- All services rendered under this Purchase Order are subject to the labor and commercial regulations of the Republic of Colombia. The Videographer Vendor confirms that all crew members are properly registered with the Colombian Social Security System (PSS) and hold valid professional licenses where applicable.
- Confidentiality: The Videographer Vendor agrees to maintain strict confidentiality regarding all content filmed in Colombia Bogotá and shall not publish, share, or use any raw or edited footage for portfolio or promotional purposes without prior written consent from the Buyer.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures in Colombia Bogotá, or civil unrest affecting the service area.
- This Purchase Order may be amended only by mutual written agreement signed by authorized representatives of both parties. Any verbal modifications shall be null and void.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the commercial laws of Colombia. Any disputes shall be resolved through the competent commercial courts of Colombia Bogotá, D.C.
