This Purchase Order is issued by Nile Delta Media Productions LLC to formally engage the services of Pharaoh Lens Visual Studios, a certified Videographer and full-service video production company, for the execution of a comprehensive corporate branding and promotional video campaign. All filming, post-production, and delivery activities shall take place within the city of Egypt Alexandria, including but not limited to the Corniche waterfront, the Bibliotheca Alexandrina grounds, the historic district of Kom El-Dik, and the buyer's corporate offices located in Smouha. The Videographer is expected to deliver a minimum of twelve (12) minutes of edited 4K promotional footage, three (3) social media cutdowns (each 30 seconds), and one (1) full-length corporate overview video (5 minutes) suitable for broadcast and digital distribution.

1. Scope of Work: The Videographer (Pharaoh Lens Visual Studios) shall provide all personnel, equipment, and creative direction necessary to complete the video production as outlined in this Purchase Order. All filming shall be conducted within the geographic boundaries of Egypt Alexandria unless otherwise agreed in writing by both parties.
2. Payment Terms: A 40% advance payment (EGP 95,076) shall be due within five (5) business days of acceptance of this Purchase Order. The remaining 60% (EGP 142,614) shall be payable within ten (10) business days following final delivery and written acceptance of all video deliverables. Payment shall be made via bank transfer to the account specified by the Videographer.
3. Delivery Schedule: Principal photography is scheduled between 22 June 2025 and 24 June 2025 in Egypt Alexandria. Post-production and final delivery of all edited materials shall be completed no later than 12 July 2025.
4. Revisions: The Videographer shall include two (2) rounds of revisions in the post-production phase. Additional revisions beyond the included rounds shall be billed at EGP 3,500 per round.
5. Intellectual Property: Upon full payment, all rights to the final video deliverables, including raw footage and project files, shall transfer exclusively to Nile Delta Media Productions LLC. The Videographer retains the right to display the work in their professional portfolio, subject to a 30-day embargo period.
6. Cancellation and Force Majeure: Either party may cancel this Purchase Order with a minimum of seven (7) days written notice. In the event of force majeure (including but not limited to severe weather affecting Egypt Alexandria coastal filming, government-mandated closures, or civil unrest), the schedule shall be extended accordingly without penalty to either party.
7. Insurance and Liability: The Videographer shall maintain full professional liability insurance and equipment insurance for the duration of the project. The Videographer assumes full responsibility for any damage to property or persons arising from their operations within Egypt Alexandria.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt. Any disputes shall be resolved through arbitration in Egypt Alexandria in accordance with the rules of the Egyptian Arbitration Center.
9. Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information, client details, and proprietary content encountered during the execution of this Purchase Order.
