TERMS AND CONDITIONS OF THIS PURCHASE ORDER

This Purchase Order constitutes a binding agreement between Nile Horizon Media Productions Ltd. (hereinafter "the Buyer") and Cairo Lens Visual Studios (hereinafter "the Videographer Vendor") for the provision of professional videography services within the metropolitan area of Egypt Cairo and its immediate governorates.
The Videographer Vendor shall assign a qualified Lead Videographer and supporting crew members who hold valid professional credentials and, where applicable, Egyptian aviation authority permits for drone operations in Egypt Cairo airspace.
All filming locations referenced in this Purchase Order are situated within Egypt Cairo. The Videographer Vendor is responsible for obtaining any local municipal permits, location clearances, or crowd-management approvals required by the Egypt Cairo municipal authorities prior to each shoot date.
Delivery of final edited video content shall be completed within five (5) business days following the last day of principal photography. All raw footage, project files, and metadata shall be transferred to the Buyer via secure cloud storage within seven (7) business days.
Payment shall be made within thirty (30) calendar days of the Buyer's receipt of a valid tax invoice from the Videographer Vendor. Payment shall be processed via bank transfer to the account designated by the Videographer Vendor in Egypt Cairo.
The Videographer Vendor warrants that all footage captured under this Purchase Order shall be original, free of third-party intellectual property claims, and shall not infringe upon the rights of any individual or entity filmed in Egypt Cairo without prior written consent.
In the event of force majeure, including but not limited to severe weather conditions affecting Egypt Cairo, government-mandated shutdowns, or civil unrest, either party may suspend performance of this Purchase Order without penalty. Affected shoot dates shall be rescheduled within fourteen (14) calendar days by mutual written agreement.
The Videographer Vendor shall maintain comprehensive professional liability insurance with a minimum coverage of EGP 2,000,000 for all operations conducted in Egypt Cairo. A certificate of insurance shall be provided to the Buyer prior to the first day of filming.
This Purchase Order is governed by the laws of the Arab Republic of Egypt. Any disputes arising from or in connection with this Purchase Order shall be resolved through arbitration in Egypt Cairo in accordance with the rules of the Egyptian Arbitration Center.
No amendment, modification, or cancellation of this Purchase Order shall be valid unless executed in writing and signed by authorized representatives of both the Buyer and the Videographer Vendor.
