1. Scope of Work: The Videographer shall provide all services described in this Purchase Order at the designated venues in France Lyon. The Videographer is responsible for arriving no later than 07:30 on the service date for equipment setup and technical rehearsal. All footage must be captured in a minimum resolution of 4K at 24fps or 25fps, with embedded timecode for synchronization purposes.
2. Deliverables: The Videographer shall deliver all final video assets in ProRes 422 HQ and H.264 formats via secure cloud transfer within 10 business days of the event. Raw footage shall be retained by the Videographer for a period of 90 days before deletion, in compliance with French data protection regulations (RGPD / GDPR).
3. Intellectual Property: Upon full payment, all rights to the final edited video content shall transfer to Rhône-Alpes Media Productions SARL. The Videographer retains the right to include a 10-second credit in the final deliverable and may use selected clips in their professional portfolio with prior written consent.
4. Cancellation Policy: Cancellation of this Purchase Order by the purchasing entity must be communicated in writing at least 14 calendar days prior to the service date. Cancellations within 14 days will incur a 50% fee. Cancellations within 72 hours will incur a 100% fee. Force majeure events affecting the France Lyon region (including but not limited to severe weather, public health emergencies, or civil unrest) shall be handled on a case-by-case basis.
5. Insurance & Liability: The Videographer shall maintain professional liability insurance with a minimum coverage of €1,000,000 and public liability insurance of €5,000,000. Proof of insurance shall be provided prior to the commencement of services in France Lyon.
6. Payment: A 40% advance payment (€5,108.00) is due upon acceptance of this Purchase Order. The remaining 60% (€7,662.00) shall be invoiced upon delivery of final assets and is payable within 30 days. All payments shall be made via bank transfer to the account specified by the Videographer. Late payments shall accrue interest at a rate of 1.5% per month in accordance with French commercial law.
7. Compliance: All services rendered under this Purchase Order shall comply with applicable French labor laws, French audiovisual regulations, and the General Data Protection Regulation (GDPR) as applicable in France Lyon. The Videographer shall obtain written consent from all identifiable individuals appearing in the footage.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Lyon, France.
