This Purchase Order formally authorizes the procurement of professional Videographer services to be rendered in France Marseille and its surrounding metropolitan area. The contracted Videographer shall be responsible for the complete production, filming, editing, and delivery of a corporate promotional video package for the buyer's annual Mediterranean Trade Exhibition, scheduled to take place at the Palais des Congrès de Marseille between 22 and 26 September 2025.

The Videographer engagement encompasses the following deliverables: a 90-second hero promotional film, three 30-second social media cutdowns, a 4-minute behind-the-scenes documentary, and a 15-second teaser reel. All filming locations shall be situated within the city of Marseille, France, including but not limited to the Vieux-Port waterfront, the Notre-Dame de la Garde hilltop, the MuCEM cultural centre, and the industrial port district of La Joliette. The Videographer is expected to bring all necessary camera equipment, lighting rigs, audio recording gear, and post-production software to each shoot day in France Marseille.

Payment for this Purchase Order shall be made in accordance with the following schedule: a 40% advance payment (EUR 12,672.00) is due within ten (10) business days of the acceptance of this Purchase Order; a 40% progress payment (EUR 12,672.00) is due upon completion of all principal photography in France Marseille; and the remaining 20% balance (EUR 6,336.00) is due within fifteen (15) business days of final delivery and written acceptance of all video deliverables. All payments shall be made via bank transfer to the account of Studio Lumière Méditerranée, IBAN: FR76 3000 4000 0312 3456 7890 123, BIC: BNPAFRPPXXX. Late payments shall incur interest at the rate of 1.5% per month in accordance with French commercial law (Code de commerce, Article L441-10).

This Purchase Order is governed by the laws of the French Republic. Any disputes arising from the interpretation or execution of this Purchase Order shall be submitted to the exclusive jurisdiction of the Tribunal de Commerce de Marseille, France. The Videographer warrants that all footage captured in France Marseille shall be free of third-party intellectual property claims, and that all necessary filming permits, drone operation licences (DGAC), and location access agreements shall be obtained at the Videographer's own expense prior to any shoot day. The Videographer shall maintain professional liability insurance with a minimum coverage of EUR 1,000,000 for the duration of the engagement in France Marseille. All raw footage, project files, and final deliverables shall become the exclusive property of the Buyer upon full payment. The Videographer retains the right to include a brief credit in the final video and to use selected stills for portfolio purposes, subject to prior written approval from the Buyer. Cancellation by either party after the pre-production phase shall be subject to a penalty of 50% of the remaining contract value. This Purchase Order constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the Videographer services in France Marseille.
