1. Purpose of This Purchase OrderThis Purchase Order is issued by MediaVision GmbH (hereinafter referred to as the "Buyer") to formally request and authorize the engagement of professional Videographer services to be delivered and executed within the metropolitan area of Germany Berlin. This document constitutes a binding procurement instrument under German commercial law (HGB) and governs all terms, conditions, deliverables, and financial obligations associated with the commissioned video production project. The Purchase Order serves as the definitive reference for both parties throughout the duration of the engagement and shall remain in effect until all stipulated deliverables have been accepted and final payment has been settled in full.
2. Scope of Services – Videographer Engagement in Germany BerlinThe Buyer hereby engages the Supplier, a certified and insured Videographer operating out of Germany Berlin, to provide comprehensive video production services for the Buyer's corporate brand campaign titled "Berlin Horizon 2025." The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, color grading, sound design, and final delivery of the completed video assets. All filming locations shall be situated within the administrative boundaries of Germany Berlin, including but not limited to the districts of Mitte, Prenzlauer Berg, Kreuzberg, and the Spree riverfront. The Videographer is expected to bring all necessary professional-grade equipment, including but not limited to 4K cinema cameras, stabilizing rigs, professional lighting kits, and high-fidelity audio recording devices, to each scheduled filming location in Germany Berlin.

The Videographer shall adhere to the following production timeline, all dates being subject to the filming schedule within Germany Berlin:
- Pre-production & Scouting: 23 June 2025 – 24 June 2025 (Germany Berlin, Mitte & Prenzlauer Berg)
- Principal Filming – Indoor: 30 June 2025 – 2 July 2025 (Corporate HQ, Friedrichstraße, Germany Berlin)
- Principal Filming – Outdoor: 9 July 2025 (Spree riverfront, Kreuzberg, Germany Berlin)
- Post-production & Editing: 14 July 2025 – 11 August 2025
- Client Review & Revisions (max. 2 rounds): 12 August 2025 – 22 August 2025
- Final Delivery of All Assets: 29 August 2025
In accordance with the terms set forth in this Purchase Order, payment shall be structured as follows:
- 30% Advance Payment (EUR 8,335.95): Due within 10 business days of acceptance of this Purchase Order, to be transferred to the Videographer's designated bank account in Germany Berlin.
- 40% Progress Payment (EUR 11,114.60): Due upon completion of all principal filming activities in Germany Berlin and submission of raw footage for initial review.
- 30% Final Payment (EUR 8,335.95): Due within 14 business days of the Buyer's written acceptance of the final delivered video assets.
All payments shall be made via SEPA bank transfer to the account details provided by the Videographer. Late payments shall incur interest at the statutory rate under German law (BGB § 288).
6. Terms and Conditions- This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this engagement shall be subject to the exclusive jurisdiction of the competent courts in Germany Berlin.
- The Videographer warrants that all equipment used during filming in Germany Berlin shall be fully insured, and that all crew members shall hold valid professional credentials and comply with all applicable German labor and safety regulations.
- The Videographer grants the Buyer full, perpetual, and irrevocable rights to all final video deliverables produced under this Purchase Order. All raw footage and intermediate files shall be deleted by the Videographer within 90 days of final delivery unless otherwise agreed in writing.
- The Videographer shall obtain all necessary location permits, filming licenses, and model releases required for production activities within Germany Berlin prior to the commencement of filming.
- Either party may terminate this Purchase Order with 14 days' written notice in the event of a material breach by the other party. In such case, the Videographer shall be compensated for all work completed up to the date of termination.
- Force majeure events, including but not limited to severe weather conditions affecting outdoor filming in Germany Berlin, shall entitle the Videographer to a reasonable extension of the production schedule without penalty.
- All communications regarding this Purchase Order shall be conducted in writing via email to the addresses specified in Section 1 of this document.
By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and deliverables outlined in this Purchase Order for the engagement of the Videographer for video production services in Germany Berlin. This document becomes effective upon the signature of both authorized representatives.
