1. Acceptance: This Purchase Order becomes binding upon written or electronic acceptance by the Videographer (Stadthalle Visual Productions UG) within five (5) business days of the issue date. Failure to respond within this period shall be interpreted as acceptance of all terms herein.
2. Payment: Payment shall be made via SEPA bank transfer to the account specified by the Videographer within thirty (30) calendar days of receipt of a valid invoice. The buyer shall remit payment in Euros (EUR) to the vendor's designated bank account in Germany. Late payments shall accrue interest at the statutory rate under German commercial law (BGB § 288).
3. Intellectual Property: Upon full and final payment, all rights, title, and interest in the finished video content, including but not limited to raw footage, edited sequences, soundtracks, and motion graphics, shall transfer exclusively to Frankfurt Media Solutions GmbH. The Videographer retains the right to display the work in a professional portfolio for a period not exceeding twelve (12) months, subject to prior written approval from the buyer.
4. Permits and Compliance: The Videographer shall be solely responsible for obtaining all necessary filming permits, location clearances, drone operation authorisations (Luftfahrt-Bundesamt), and any other regulatory approvals required to conduct filming operations within Germany Frankfurt. All activities must comply with the German Federal Data Protection Act (BDSG) and the EU General Data Protection Regulation (GDPR) with respect to any identifiable persons appearing in the footage.
5. Revisions: The buyer is entitled to two (2) rounds of revisions on the edited final cut at no additional cost. Any further revision requests beyond the two permitted rounds shall be billed at the Videographer's standard hourly rate of € 120.00 per hour.
6. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to severe weather conditions affecting outdoor filming in Germany Frankfurt, government-mandated closures, or natural disasters.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
8. Confidentiality: The Videographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and internal processes of Frankfurt Media Solutions GmbH encountered during the course of filming and production in Germany Frankfurt. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
