The Videographer shall commence pre-production activities no later than 23 June 2025. Principal photography is scheduled between 28 June 2025 and 30 June 2025, with the aerial drone session on 1 July 2025. All shooting locations are situated within the administrative boundaries of Germany Munich. Post-production shall be completed by 15 July 2025, and final deliverables must be transmitted to the Buyer no later than 18 July 2025. Any delay attributable to the Videographer or the Supplier shall entitle the Buyer to a penalty of 1.5% of the total Purchase Order value per calendar day of delay, capped at 15% of the total value.
4. TERMS AND CONDITIONS4.1 Payment Terms: Payment shall be made in two instalments. A 40% advance payment (EUR 11,090.80) is due within 10 business days of acceptance of this Purchase Order. The remaining 60% (EUR 16,636.20) shall be due within 14 business days of final delivery and written acceptance of all deliverables. All payments shall be made via bank transfer to the Supplier's designated account in Germany Munich. Late payments shall accrue interest at the statutory rate under Section 288 of the German Civil Code (BGB).
4.2 Intellectual Property: Upon full and final payment, all intellectual property rights in the finished film, raw footage, and associated project files shall vest exclusively in the Buyer. The Videographer and the Supplier retain the right to include a limited excerpt (not exceeding 30 seconds) in their professional portfolio, subject to prior written approval from the Buyer. No third-party licensing of the material is permitted without express consent.
4.3 Data Protection — Germany Munich Compliance: The Supplier and the Videographer shall comply with all data protection obligations applicable in Germany Munich. A Data Processing Agreement (DPA) in accordance with Article 28 GDPR shall be executed prior to the commencement of any filming involving identifiable individuals. All personal data captured during production in Germany Munich shall be stored on encrypted servers located within the European Economic Area.
4.4 Insurance and Liability: The Supplier shall maintain professional liability insurance with a minimum coverage of EUR 2,000,000 per occurrence, valid throughout the duration of the Videographer engagement in Germany Munich. The Supplier shall also carry adequate equipment insurance covering all cameras, lenses, drones, and auxiliary gear used in the production.
4.5 Cancellation: Either party may cancel this Purchase Order with 14 days' written notice. In the event of cancellation by the Buyer after the Videographer has commenced pre-production, the Buyer shall be liable for all costs incurred up to the date of cancellation, not to exceed 50% of the total Purchase Order value.
4.6 Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Germany. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Germany Munich.
4.7 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Germany Munich, or pandemics, provided that the affected party notifies the other within 48 hours.
5. ACCEPTANCE AND AUTHORIZATIONBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Videographer in Germany Munich. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
