This Purchase Order is issued by TechVision Media Solutions Pvt. Ltd. to formally engage the services of CineCraft Visuals & Productions, a professional Videographer firm based in India Bangalore, for the production of a comprehensive corporate video package. The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and final delivery of the video assets. All filming and production activities shall take place within the geographical boundaries of India Bangalore, including but not limited to the buyer’s office premises at Koramangala, select outdoor locations in Whitefield, and the buyer’s manufacturing facility in Peenya, all situated within the city limits of India Bangalore.

1. This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon countersignature. All services described herein shall be performed by the Videographer and their designated crew within the city of India Bangalore unless otherwise agreed in writing.
2. The Videographer shall provide all necessary equipment, including but not limited to 4K-capable cinema cameras, professional lighting, audio recording gear, and editing software. No additional equipment costs shall be charged to the Buyer beyond the amounts specified in this Purchase Order.
3. Payment shall be made via bank transfer to the Seller’s designated account within 30 days of receipt of a valid GST invoice. The Buyer shall not be liable for any late payment penalties if the Seller fails to submit a compliant invoice.
4. The Videographer shall obtain all necessary location permits, drone operation clearances from the Directorate General of Civil Aviation (DGCA), and any local municipal permissions required for filming in India Bangalore. All such costs are included in the line-item pricing above.
5. Intellectual property: Upon full and final payment, all rights, title, and interest in the final video deliverables shall vest exclusively in the Buyer. The Videographer retains the right to display the work in their professional portfolio, subject to the Buyer’s prior written approval.
6. The Videographer shall maintain comprehensive professional indemnity and equipment insurance throughout the duration of the engagement in India Bangalore. Certificates of insurance shall be provided to the Buyer prior to the commencement of filming.
7. Any changes to scope, schedule, or locations within India Bangalore must be documented through a formal Change Order signed by both parties. No verbal modifications to this Purchase Order shall be valid.
8. In the event of force majeure (including but not limited to severe weather, government-mandated lockdowns, or public health emergencies affecting India Bangalore), either party may suspend performance without penalty, provided written notice is given within 48 hours.
9. This Purchase Order shall be governed by and construed in accordance with the laws of India. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in India Bangalore, Karnataka.
10. The Videographer shall comply with all applicable data protection and privacy regulations of India, including the Information Technology Act, 2000, and any applicable rules regarding the recording of individuals in public and private spaces within India Bangalore.
