This Purchase Order is issued to engage the above-named Videographer for the production of a comprehensive corporate brand film and a series of promotional video assets. All filming, post-production, and delivery activities shall be executed within the jurisdiction of India Mumbai, specifically at the locations and studios designated by the Buyer. The Videographer shall bring all necessary equipment, crew, and technical expertise to fulfil the deliverables outlined in this Purchase Order.

1. Acceptance of Purchase Order: The Videographer shall confirm acceptance of this Purchase Order in writing within three (3) business days of the date of issue. Failure to confirm within this period shall render this Purchase Order null and void.
2. Payment Terms: Payment shall be made in three instalments: 30% advance upon signing, 40% upon delivery of the rough cut of the brand film, and 30% upon final acceptance of all deliverables. All payments shall be processed via NEFT/RTGS to the bank account specified above. Invoices must reference this Purchase Order number (PO/MUM/2025/04782).
3. Location and Jurisdiction: All services under this Purchase Order shall be performed in and around India Mumbai. The Videographer is responsible for obtaining any local permits, location clearances, or municipal approvals required for filming in public or private spaces within India Mumbai.
4. Intellectual Property: Upon full and final payment, all rights, title, and interest in the finished video content, raw footage, and associated project files shall vest exclusively in the Buyer. The Videographer retains the right to display the work in their professional portfolio, subject to the Buyer's prior written approval.
5. Confidentiality: The Videographer and all crew members shall sign a Non-Disclosure Agreement (NDA) prior to commencing work. No information regarding the Buyer's brand, product, or business strategy shall be disclosed to any third party without express written consent.
6. Revisions: Two (2) rounds of revisions are included in the post-production fee. Additional revision cycles shall be billed at INR 15,000 per round, subject to a separate written amendment to this Purchase Order.
7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated lockdowns in India Mumbai, or equipment failure due to manufacturing defects. Affected timelines shall be extended proportionally.
8. Dispute Resolution: Any dispute arising out of or in connection with this Purchase Order shall be resolved by arbitration in Mumbai, India, in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be India Mumbai, and the proceedings shall be conducted in English.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of India, with specific reference to the Indian Contract Act, 1872, and the applicable Goods and Services Tax (GST) regulations.
10. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer after principal photography has commenced, the Videographer shall be compensated for all work completed up to the date of termination, plus a 10% cancellation fee.
