This Purchase Order is issued by Meridian Creative Productions Pvt. Ltd. to engage the services of Apex Visual Media & Videography Services for professional Videographer services to be executed in India New Delhi. The scope of work encompasses the complete visual documentation, cinematography, and post-production editing of a corporate brand film and a series of promotional video assets. The Videographer team shall be responsible for all on-site filming activities, including but not limited to multi-camera setups, drone aerial footage, lighting design, sound recording, and color grading. All services shall be rendered at the client's designated locations within the India New Delhi metropolitan area, including but not limited to the Connaught Place commercial district, the National Capital Region (NCR) industrial zones, and the client's headquarters at 14 Connaught Place.

• A 40% advance payment (INR 4,72,000) shall be due within 5 business days of acceptance of this Purchase Order.
• The remaining 60% balance (INR 7,08,000) shall be payable within 30 days of final delivery and written acceptance of all video assets by the Buyer.
• All payments shall be made via NEFT/RTGS to the vendor's designated bank account in India New Delhi. Bank details to be shared on a separate confidential annexure.
• Applicable GST at 18% shall be charged as per the Indian Goods and Services Tax Act, 2017. A valid GST invoice shall accompany each payment milestone.
• Late payments shall attract interest at 1.5% per month on the outstanding amount.

• This Purchase Order is governed by the laws of India and shall be interpreted in accordance with the Indian Contract Act, 1872.
• The Videographer and all crew members shall comply with all local regulations, permits, and NDIA (Directorate General of Civil Aviation) requirements for drone operations in India New Delhi.
• All raw footage, project files, and final deliverables shall become the exclusive intellectual property of the Buyer upon full and final payment.
• The Vendor shall provide a minimum of two (2) rounds of revisions on the edited content at no additional cost. Further revisions shall be billed at INR 15,000 per round.
• In the event of force majeure (including but not limited to severe weather, government-mandated lockdowns, or civil unrest in India New Delhi), either party may suspend obligations with 48 hours' written notice.
• The Vendor shall maintain professional indemnity and public liability insurance with a minimum coverage of INR 50,00,000 for the duration of the engagement.
• Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
• This Purchase Order shall remain valid for acceptance until 15 July 2025. Failure to accept within this period shall render this document null and void.

By signing below, both parties acknowledge and agree to all terms, conditions, and scope of work outlined in this Purchase Order for the engagement of the Videographer services in India New Delhi.
