This Purchase Order is issued by Sahel Media Productions SARL to formally engage the services of a professional Videographer and associated production team for a comprehensive corporate video production project to be executed in Ivory Coast Abidjan. The Videographer shall be responsible for the full-cycle production of a 12-minute corporate documentary and a series of 30-second promotional clips for the client's regional expansion campaign. All filming, editing, color grading, sound mixing, and final delivery shall take place within the Abidjan metropolitan area, Ivory Coast, unless otherwise specified in the project schedule.

The Videographer is expected to bring a minimum of five (5) years of professional experience in corporate and commercial videography, with a demonstrated portfolio of work produced in West African markets. The Videographer must be fully licensed to operate in Ivory Coast and must comply with all local regulations regarding commercial filming in public and private spaces within Abidjan.

5. TERMS AND CONDITIONS

Payment Terms: A deposit of 40% (3,233,200 XOF) is due upon acceptance of this Purchase Order. The remaining 60% (4,849,800 XOF) shall be paid within fifteen (15) business days of final client approval of all deliverables. All payments shall be made via bank transfer to the Videographer's designated account in Ivory Coast.
Intellectual Property: Upon full payment, all rights to the final video content, including the 12-minute documentary and all 30-second clips, shall transfer exclusively to the Buyer. The Videographer retains the right to include the work in their professional portfolio and showreel, subject to the Buyer's prior written consent for any commercial use by third parties.
Compliance with Local Law: The Videographer and all crew members shall comply with the laws and regulations of the Republic of Ivory Coast, including but not limited to the Ivorian Audiovisual Code, municipal filming permits in Abidjan, and data protection regulations. The Videographer is solely responsible for obtaining all necessary permits and licenses for filming in Ivory Coast Abidjan.
Revisions: The Purchase Order includes two (2) rounds of revisions on the final edit. Additional revision rounds shall be billed at 150,000 XOF per round.
Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather affecting filming in Abidjan, government-mandated shutdowns, or civil unrest in Ivory Coast. In such cases, the project timeline shall be extended by a mutually agreed period.
Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance for the duration of the project. Proof of insurance shall be provided prior to the commencement of filming.
Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of early termination by the Buyer, the Videographer shall be compensated for all work completed and expenses incurred up to the date of termination.
Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Ivory Coast. Any disputes shall be resolved through the competent courts of Abidjan, Ivory Coast.

This Purchase Order (PO-2025-IVC-0472) constitutes a binding agreement between the parties once signed and countersigned. It is issued for the engagement of professional Videographer services in Ivory Coast Abidjan. All communications regarding this Purchase Order shall be directed to the procurement department of Sahel Media Productions SARL, Abidjan, Ivory Coast. This document is valid for a period of thirty (30) days from the date of issue. Unauthorized reproduction or distribution of this Purchase Order is prohibited.
