- Acceptance: This Purchase Order becomes a binding agreement upon written or electronic acceptance by the Vendor. The Videographer (OVAV) acknowledges that all services described herein are to be performed exclusively within the jurisdiction of Japan Osaka unless otherwise specified in writing.
- Payment: Payment of the total amount of JPY 2,079,000 shall be made within thirty (30) calendar days of the final delivery date via bank transfer to the account specified in Section 2. A 50% advance payment of JPY 1,039,500 is due upon signing of this Purchase Order to secure the Videographer's schedule and equipment reservation.
- Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables, including but not limited to the edited master, raw footage, and project files, shall transfer to Meridian Global Media Productions K.K. The Videographer retains the right to display the work in a professional portfolio, subject to a 30-day embargo period.
- Compliance & Permits: The Videographer is solely responsible for obtaining all necessary filming permits, drone operation licenses, and location clearances required by the City of Osaka, Osaka Prefecture, and relevant national authorities in Japan. Failure to secure permits shall not delay the production schedule at the Buyer's expense.
- Insurance: The Videographer shall maintain comprehensive professional liability insurance of no less than JPY 100,000,000 and equipment insurance covering all cameras, lenses, drones, and accessories used during the Japan Osaka production. Certificates of insurance must be provided prior to the first shooting day.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters (typhoons, earthquakes), government-mandated shutdowns, or public health emergencies affecting Japan Osaka.
- Revisions: The Buyer is entitled to two (2) rounds of revisions on the final edit at no additional charge. Additional revision rounds shall be billed at JPY 45,000 per round.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be resolved through arbitration in Osaka, Japan, under the rules of the Japan Commercial Arbitration Association.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding the content, purpose, and commercial details of the video project. No information pertaining to this engagement in Japan Osaka shall be disclosed to third parties without prior written consent.
- Cancellation: Cancellation by the Buyer after the advance payment has been made shall result in forfeiture of 50% of the advance. Cancellation by the Vendor without cause shall require full refund of all payments received within fourteen (14) days.
