All amounts are quoted in Japanese Yen (JPY). Payment shall be made via bank transfer to the account designated by the Videographer vendor as listed in Section 2.
Payment for this Purchase Order shall be structured as follows: (a) 40% advance payment (JPY 1,658,800) due within ten (10) business days of Purchase Order acceptance; (b) 40% milestone payment (JPY 1,658,800) due upon completion of principal photography and delivery of raw footage; (c) 20% final payment (JPY 829,400) due within fifteen (15) business days of acceptance of all final deliverables by the Buyer. Late payments shall incur interest at a rate of 1.5% per month. The Videographer shall issue a formal invoice referencing this Purchase Order number (PO-JT-2025-04872) for each payment milestone.

8.1 The Videographer shall maintain full professional liability insurance with a minimum coverage of JPY 100,000,000 for all operations conducted in Japan Tokyo. Proof of insurance shall be provided prior to the commencement of any filming activity.
8.2 All intellectual property rights in the final video deliverables, including but not limited to the master video, cutdowns, and raw footage, shall vest exclusively in the Buyer upon full payment. The Videographer retains the right to display the work in their professional portfolio, subject to prior written approval from the Buyer.
8.3 The Videographer shall comply with all applicable laws and regulations of Japan Tokyo, including the Personal Information Protection Act (APPI) for any employee interviews, and the Aviation Act for drone operations. All Japan Tokyo municipal filming permits shall be obtained and maintained by the Videographer at no additional cost to the Buyer beyond the amounts specified in this Purchase Order.
8.4 Any changes to scope, schedule, or location within Japan Tokyo must be documented in a written change order signed by both parties. Unauthorized scope changes shall not be compensated under this Purchase Order.
8.5 This Purchase Order is governed by the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Tokyo under the rules of the Japan Commercial Arbitration Service (JCAS).
8.6 The Videographer shall not subcontract any portion of the services without prior written consent from the Buyer. Any approved subcontractor shall be bound by the same terms and conditions set forth in this Purchase Order.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Videographer services in Japan Tokyo.
