This Purchase Order is issued by Al-Nakheel Media Group LLC to formally engage the services of a professional Videographer and associated production team for the production of a corporate promotional video. All filming, editing, and post-production activities shall be conducted within the boundaries of Kuwait, Kuwait City, unless otherwise approved in writing by the Buyer. The Videographer shall be responsible for delivering a polished, broadcast-quality video asset that meets the specifications outlined in this document.

- This Purchase Order constitutes a binding agreement between the Buyer and the Seller upon signature by both parties. All terms herein govern the engagement of the Videographer and the associated production team.
- The Videographer shall comply with all applicable laws and regulations of the State of Kuwait, including but not limited to the Kuwait Civil Aviation Authority requirements for drone operations and the Kuwait Public Authority for Information and Technology guidelines for data handling.
- All filming activities shall take place within Kuwait, Kuwait City, unless the Buyer provides written authorization for additional locations. The Videographer is responsible for obtaining any necessary location permits or access clearances within Kuwait City.
- Payment terms: 40% advance payment upon acceptance of this Purchase Order, 40% upon delivery of the first edit, and 20% upon final acceptance of all deliverables. All payments shall be made via bank transfer to the Seller's account in Kuwait.
- The Videographer warrants that all footage, music, graphics, and other materials included in the final video shall be original or properly licensed. Any intellectual property infringement claims arising from the Videographer's work shall be the sole responsibility of the Seller.
- The Buyer shall have full commercial rights to all final video deliverables upon completion of payment. The Videographer may include the project in a professional portfolio with prior written consent from the Buyer.
- Any changes to scope, schedule, or deliverables must be documented in a written amendment to this Purchase Order, signed by both parties, before work proceeds.
- In the event of force majeure (including but not limited to severe weather conditions affecting outdoor filming in Kuwait City), the Videographer shall notify the Buyer within 24 hours, and the schedule shall be adjusted by mutual agreement.
- This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait. Any disputes shall be resolved through the competent courts in Kuwait City.
- The Videographer shall maintain professional liability insurance with a minimum coverage of KWD 50,000 for the duration of the engagement.
The final video deliverables shall be considered accepted when the Videographer has met all technical specifications (4K resolution, minimum 24 fps, H.265 encoding, 48 kHz audio) and the Buyer has confirmed in writing that the content aligns with the creative brief. The Buyer shall have a maximum of five (5) business days from the date of final delivery to issue acceptance or a written list of outstanding corrections. Failure to respond within this period shall constitute deemed acceptance of the Videographer's work.
