This Purchase Order is issued by Grupo Creativo del Valle, S.A. de C.V. (hereinafter referred to as the "Buyer") to Lentes de la Ciudad, Videografía Profesional (hereinafter referred to as the "Videographer" or "Vendor") for the provision of professional videography services to be performed in Mexico Mexico City. This Purchase Order governs all terms, conditions, deliverables, and payment obligations related to the engagement of the Videographer for the production of a corporate promotional video, event coverage, and supporting visual content as detailed in the line items below.
The Videographer shall provide full-service videography production in Mexico Mexico City, including but not limited to: pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and delivery of final video assets. All filming locations are situated within the metropolitan area of Mexico Mexico City, and the Videographer is responsible for securing any necessary location permits, insurance, and local regulatory approvals required by the authorities of Mexico Mexico City for commercial filming.

Payment for this Purchase Order shall be made in Mexican Pesos (MXN) via bank transfer to the account designated by the Videographer. The payment schedule is as follows:
- 30% Advance Payment (MXN 154,164.00): Due upon execution of this Purchase Order, no later than June 16, 2025.
- 40% Progress Payment (MXN 205,552.00): Due upon delivery and Buyer approval of the rough cut, no later than July 15, 2025.
- 30% Final Payment (MXN 154,164.00): Due upon final delivery of all video assets and acceptance by the Buyer, no later than August 10, 2025.
Late payments shall accrue interest at a rate of 1.5% per month, in accordance with Mexican commercial law. The Videographer shall issue a formal invoice (factura) compliant with the SAT (Servicio de Administración Tributaria) requirements of Mexico for each payment milestone.
- 7.1 The Videographer warrants that all personnel assigned to this Purchase Order are qualified, insured, and in compliance with all labor and safety regulations applicable in Mexico Mexico City.
- 7.2 The Videographer shall maintain professional liability insurance with a minimum coverage of MXN 2,000,000 for the duration of the engagement in Mexico Mexico City.
- 7.3 All intellectual property rights in the final video deliverables shall transfer to the Buyer upon full payment. The Videographer retains the right to display the work in their professional portfolio, subject to the Buyer's written approval.
- 7.4 The Videographer is responsible for obtaining all filming permits, location clearances, and drone operation authorizations required by the local government of Mexico Mexico City and the Mexican Federal Aviation Authority (AFAC).
- 7.5 In the event of force majeure (including but not limited to severe weather, government-mandated shutdowns, or public health emergencies in Mexico Mexico City), either party may suspend performance without penalty, provided written notice is given within 48 hours.
- 7.6 This Purchase Order is governed by the commercial laws of the United Mexican States. Any disputes shall be resolved through arbitration in Mexico Mexico City in accordance with the rules of the Mexican Chamber of Commerce.
- 7.7 The Videographer shall comply with all data protection regulations under the Federal Law on Protection of Personal Data Held by Private Parties (LFPDPPP) of Mexico, particularly when filming individuals in public spaces in Mexico Mexico City.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the Videographer services to be rendered in Mexico Mexico City.
