This Purchase Order is issued by Golden Pagoda Media & Communications Ltd. to engage the services of Yangon Lens Productions Co., Ltd. as a professional Videographer for a comprehensive corporate branding and promotional video project to be filmed and produced in Myanmar Yangon. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming, post-production editing, color grading, sound mixing, and final delivery of broadcast-quality video content. All filming locations shall be within the Yangon metropolitan area, including but not limited to the historic Bagan-inspired heritage sites, the modern Central Business District, the Inle Lake cultural outreach segment (with travel from Yangon), and the company's own office facilities in Kyauktada Township.

  1. Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Videographer (Yangon Lens Productions Co., Ltd.) and signature by both parties. The Videographer shall confirm acceptance within five (5) business days of receipt.
  2. Payment: A 40% advance payment (USD 5,871.60) shall be due upon signing. The remaining 60% (USD 8,807.40) shall be payable within thirty (30) days of final delivery and written acceptance of all video deliverables. All payments shall be made via bank transfer to the account specified in Section 2.
  3. Intellectual Property: Upon full payment, all rights, title, and interest in the final video content, including all raw footage, edits, and associated media, shall vest exclusively in Golden Pagoda Media & Communications Ltd. The Videographer retains the right to display the work in their professional portfolio with prior written consent from the Buyer.
  4. Compliance with Myanmar Law: The Videographer shall comply with all applicable laws and regulations of the Republic of the Union of Myanmar, including the Myanmar Film Censorship Act, data protection guidelines, and any local filming permit requirements in Yangon. All drone operations shall be conducted in strict accordance with Myanmar Civil Aviation Authority regulations.
  5. Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance for the duration of the project, with a minimum coverage of USD 100,000. Certificates of insurance shall be provided prior to the commencement of filming in Myanmar Yangon.
  6. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, political unrest, or public health emergencies affecting operations in Myanmar Yangon.
  7. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination.
  8. Confidentiality: The Videographer agrees to treat all proprietary information, trade secrets, and unreleased content encountered during the project in Myanmar Yangon as strictly confidential and shall not disclose such information to any third party without written authorization.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Union of Myanmar. Any disputes shall be resolved through arbitration in Yangon under the Myanmar Arbitration Centre.

The Videographer is advised that all filming in Myanmar Yangon shall be conducted with respect for local customs, religious sensitivities, and cultural norms. Filming near pagodas, monasteries, or religious sites requires prior permission from the relevant religious authorities. The Videographer's crew shall dress appropriately and conduct themselves with courtesy at all times. The Lead Videographer shall serve as the primary point of contact for the Buyer's project manager throughout the engagement and shall provide daily progress reports during the principal photography phase.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Videographer in Myanmar Yangon.
