This Purchase Order is issued to formally engage a professional Videographer for the production of a corporate brand film, a series of promotional short-form videos, and event coverage to be filmed and produced within the Netherlands Amsterdam metropolitan area. The Videographer shall be responsible for all pre-production planning, on-site filming, post-production editing, colour grading, sound mixing, and final delivery of all video assets in the formats and resolutions specified below. All filming locations are to be situated within the city boundaries of Netherlands Amsterdam, including but not limited to the historic canal district, the Zuidas business quarter, and the NDSM wharf industrial zone. The Videographer must hold a valid Dutch professional media licence and comply with all local filming permits required by the Municipality of Amsterdam.

1. This Purchase Order constitutes a binding agreement between NorthSea Media Group N.V. and Amsterdam Lens & Frame Videography B.V. upon written acceptance by both parties. All services described herein shall be performed by the contracted Videographer or their directly supervised team members.
2. The Videographer shall deliver all final video assets no later than 01 August 2025. A 5-business-day review period shall be granted to the Buyer for feedback and up to two (2) rounds of revisions at no additional cost.
3. All filming activities must take place within the jurisdiction of Netherlands Amsterdam. Should the Videographer require to travel outside this area for supplementary footage, prior written approval from the Buyer is mandatory, and any additional travel expenses shall be itemised separately.
4. Payment shall be made via bank transfer to the account specified on the Videographer's invoice within thirty (30) calendar days of receipt of a valid VAT invoice. Late payments shall accrue interest at the statutory Dutch rate.
5. The Videographer warrants that all footage, music, and visual elements incorporated into the final deliverables are either original works or properly licensed, and that no intellectual property rights of third parties are infringed. Full ownership of the final deliverables transfers to the Buyer upon full payment.
6. The Videographer shall maintain comprehensive professional liability insurance (minimum EUR 2,000,000) and public liability insurance valid throughout the duration of the engagement in Netherlands Amsterdam.
7. Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Videographer shall be compensated for all work completed and materials procured up to the date of termination.
8. All disputes arising from this Purchase Order shall be governed by the laws of the Netherlands and shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands Amsterdam.
9. The Videographer agrees to comply with all applicable Dutch data protection regulations (AVG/GDPR) regarding the handling of any personal data captured during filming in Netherlands Amsterdam.
