The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, and final delivery of video assets in accordance with the specifications outlined in this Purchase Order. All services shall be performed within the New Zealand Auckland metropolitan area unless otherwise agreed in writing by both parties.

1. Acceptance: This Purchase Order shall be deemed accepted by the Videographer upon written confirmation (email or signed copy) returned to Harbourline Media Group Ltd within five (5) business days of the date of issue. Failure to respond within this period shall constitute a declination of this Purchase Order.
2. Performance Period: The Videographer shall complete all filming, editing, and delivery obligations no later than 30 July 2025, unless a revised timeline is mutually agreed in writing. All on-site work shall take place within the New Zealand Auckland metropolitan area as specified in the line items above.
3. Payment: Payment of the total amount of NZD 23,575.00 (inclusive of 15% GST) shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Videographer. Payment shall be made via electronic funds transfer (EFT) to the bank account nominated by Southern Lens Productions.
4. Quality and Standards: The Videographer warrants that all services shall be performed in a professional and workmanlike manner, in compliance with all applicable New Zealand legislation, including the Copyright Act 1994, the Privacy Act 2020, and the Health and Safety at Work Act 2015. All video deliverables shall meet the technical specifications agreed upon in the attached Statement of Work.
5. Intellectual Property: Upon full and final payment under this Purchase Order, all rights, title, and interest in the finished video assets shall vest in Harbourline Media Group Ltd. The Videographer retains the right to include the work in their professional portfolio, subject to prior written approval from the Buyer.
6. Insurance: The Videographer shall maintain, at their own cost, comprehensive public liability insurance of no less than NZD 10,000,000 and professional indemnity insurance of no less than NZD 5,000,000 for the duration of the engagement in New Zealand Auckland. Certificates of insurance shall be provided prior to the commencement of any on-site work.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure is caused by events beyond reasonable control, including but not limited to natural disasters, severe weather affecting the New Zealand Auckland region, government-imposed restrictions, or pandemics.
8. Termination: Either party may terminate this Purchase Order by providing fourteen (14) days written notice. In the event of termination, the Videographer shall be compensated for all work completed and materials procured up to the date of termination, at the rates specified in this Purchase Order.
9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of New Zealand Auckland.
10. Confidentiality: The Videographer agrees to treat all information, footage, and materials accessed during the performance of this Purchase Order as strictly confidential and shall not disclose such information to any third party without prior written consent from Harbourline Media Group Ltd.
