This Purchase Order is issued by Harbourline Media Productions Ltd to engage the services of Southward Lens Videography Co., a professional Videographer based in New Zealand Wellington, for the production of a multi-day corporate and promotional video project. The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, colour grading, sound mixing, and final delivery of the completed video assets. All filming and production activities shall take place within the greater New Zealand Wellington region, including but not limited to the Wellington waterfront, the Te Aro district, the Hutt Valley, and the Wairarapa coast.

Payment for this Purchase Order shall be made in accordance with the following schedule:

• 50% deposit ($15,783.75 incl. GST): Due within 5 business days of acceptance of this Purchase Order, payable by bank transfer to the vendor's nominated account.
• 30% progress payment ($9,470.25 incl. GST): Due upon completion of all on-site filming in New Zealand Wellington and delivery of raw footage to the Buyer for review.
• 20% final balance ($6,313.50 incl. GST): Due within 10 business days of final delivery and written acceptance of the completed video assets by the Buyer.

All payments shall be made in New Zealand Dollars (NZD) via electronic funds transfer (EFT) to the account details provided by the Videographer. Late payments shall attract interest at the rate of 1.5% per month in accordance with the New Zealand Late Payment of Debts Regulations 2002.

1. This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved in the courts of New Zealand Wellington.
2. The Videographer warrants that all equipment used, including cameras, lenses, audio recorders, drones, and editing software, shall be fully insured, maintained, and compliant with all applicable New Zealand regulatory standards, including the Civil Aviation Authority (CAA) requirements for drone operations.
3. The Videographer shall obtain all necessary location permits, filming consents, and property access agreements required for shooting within New Zealand Wellington prior to the commencement of filming.
4. All intellectual property rights in the final delivered video assets shall transfer to Harbourline Media Productions Ltd upon full payment of this Purchase Order. The Videographer retains the right to include the project in their professional portfolio and showreel, subject to the Buyer's prior written approval for any sensitive or confidential content.
5. The Videographer shall comply with all New Zealand Health and Safety at Work Act 2015 requirements during all on-site filming activities in New Zealand Wellington.
6. Any changes to the scope of work, additional filming days, or revised deliverables must be documented in a written variation to this Purchase Order and signed by both parties before work proceeds.
7. The Videographer shall provide a minimum of 48 hours' written notice for any cancellation or rescheduling of filming dates. Cancellations within 48 hours of a scheduled filming day in New Zealand Wellington shall incur a 50% fee for that day's scheduled rate.
8. Confidentiality: The Videographer and all members of their production team shall treat all information, footage, and materials accessed during this engagement as strictly confidential and shall not disclose them to any third party without the Buyer's written consent.
