This Purchase Order is issued to engage a qualified Videographer and their production team to deliver comprehensive video production services for the Buyer's annual corporate summit, product launch event, and internal training documentation. All filming, editing, and post-production work shall be executed within the Nigeria Abuja metropolitan area and its immediate environs, with the primary production base located in the Maitama and Wuse 2 districts.

1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Videographer. The Vendor shall return a signed copy of this Purchase Order within five (5) business days of receipt to confirm engagement.
2. Payment Schedule: A 50% advance payment (NGN 5,375,000) shall be remitted via bank transfer to the Videographer's designated account within three (3) business days of Purchase Order acceptance. The remaining 50% balance (NGN 5,375,000) shall be paid within seven (7) business days of final delivery and written acceptance of all deliverables.
3. Deliverables & Quality: The Videographer guarantees all footage shall be captured in minimum 4K UHD resolution at 24fps or 30fps. All edited deliverables shall conform to the Buyer's brand guidelines, which shall be provided prior to the commencement of filming. Two (2) rounds of revisions are included; additional revisions shall be billed at NGN 150,000 per round.
4. Location & Logistics: All filming, editing, and post-production activities shall be conducted in or around Nigeria Abuja, Federal Capital Territory. The Videographer is responsible for transporting all equipment, crew, and support staff to designated locations. The Buyer shall provide access to premises and necessary permits for filming within its facilities.
5. Intellectual Property: Upon full and final payment, all rights, title, and interest in the finished video content, raw footage, and associated materials shall vest exclusively in the Buyer. The Videographer may use excerpts for portfolio and marketing purposes only with prior written consent from the Buyer.
6. Insurance & Liability: The Videographer shall maintain comprehensive public liability insurance of not less than NGN 50,000,000 and equipment insurance covering all cameras, lenses, drones, and accessories used in the production. The Videographer shall be solely liable for any damage to property or injury to persons arising from their operations in Nigeria Abuja.
7. Regulatory Compliance: The Videographer shall ensure full compliance with all applicable Nigerian laws, including the Nigeria Communications Commission (NCC) regulations for drone operations, the National Film and Video Censors Board (NFVCB) guidelines where applicable, and all local government permits required for filming in the Nigeria Abuja area.
8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to severe weather, government-mandated shutdowns, or civil unrest in Nigeria Abuja. Affected parties shall notify the other within 48 hours of the occurrence.
9. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer without cause, the Videographer shall be compensated for all work completed and expenses incurred up to the date of termination.
10. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes shall be resolved through arbitration in Nigeria Abuja in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
