Post-production, including editing, color grading, sound design, and final mastering, shall be completed and delivered to the Buyer no later than 25 July 2025. A rough cut review session is scheduled for 15 July 2025, with a maximum of two (2) revision rounds included in the scope of this Purchase Order.

1. Payment Terms: A 40% advance payment (RUB 758,400) is due within five (5) business days of acceptance of this Purchase Order. The remaining 60% (RUB 1,137,600) shall be paid within ten (10) business days following final delivery and written acceptance of all video deliverables.
2. Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables, including all footage, audio, and project files, shall transfer exclusively to the Buyer. The Videographer retains the right to display the work in a professional portfolio for a period of twelve (12) months, subject to the Buyer's written approval of the specific clips used.
3. Compliance with Local Regulations: The Videographer and all crew members are responsible for obtaining and maintaining all necessary filming permits, insurance, and regulatory approvals required for commercial video production in Russia Saint Petersburg and the broader Leningrad Oblast. This includes compliance with Roskomnadzor media regulations and municipal filming ordinances.
4. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather conditions affecting outdoor filming in Russia Saint Petersburg, government-issued restrictions, or natural disasters. Affected parties must notify the other within 48 hours of the event.
5. 6. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. 7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Russian Federation.
