This Purchase Order is issued by Al-Nakheel Media & Events Co., Ltd. to engage the services of a professional Videographer and associated production team for the filming, editing, and post-production of a corporate brand campaign to be executed in Saudi Arabia Jeddah. The Videographer shall be responsible for all aspects of video capture, including but not limited to on-location shooting at the Jeddah Corniche, indoor studio sessions at the supplier's facility in Jeddah, and aerial drone footage over designated zones in the city. All work shall comply with the regulations set forth by the Saudi Communications, Space & Technology Commission (CST) and the General Entertainment Authority (GEA) of the Kingdom of Saudi Arabia.

Payment against this Purchase Order shall be made in Saudi Riyal (SAR) via bank transfer to the supplier's designated account in Jeddah, Kingdom of Saudi Arabia. The payment schedule is as follows:

1. 30% Advance (SAR 17,733.00) — Due upon signed acceptance of this Purchase Order, no later than 20 June 2025.
2. 40% Progress (SAR 23,644.00) — Due upon completion of principal photography and drone session, no later than 27 June 2025.
3. 30% Final (SAR 17,733.00) — Due upon acceptance of the final edited deliverables, no later than 15 July 2025.

A valid VAT invoice (15%) shall accompany each payment request. Late payments shall incur a penalty of 1.5% per month as per Saudi commercial law.

1. This Purchase Order is governed by the laws of the Kingdom of Saudi Arabia. Any disputes shall be resolved through the competent courts in Jeddah, Saudi Arabia.
2. The Videographer and all crew members must hold valid work permits or appropriate visa status to perform services within Saudi Arabia Jeddah. The supplier warrants full compliance with the Ministry of Human Resources and Social Development (HRSD) regulations.
3. All drone operations must be pre-approved by the CST and conducted only within designated no-fly-exempt zones in Jeddah. The supplier assumes full liability for any regulatory breach.
4. The Videographer shall deliver all raw footage, project files, and final masters in 4K UHD (3840×2160) at a minimum of 24 fps. Additional formats (1080p, vertical 9:16) shall be included at no extra cost.
5. Intellectual property rights for all final deliverables shall vest exclusively in the Buyer upon full payment. The supplier retains the right to display the work in their portfolio with prior written consent from the Buyer.
6. The supplier shall maintain professional liability insurance with a minimum coverage of SAR 1,000,000 for the duration of the engagement in Jeddah.
7. Either party may terminate this Purchase Order with 7 days' written notice in the event of material breach. In such case, the Buyer shall pay only for services rendered up to the termination date.
8. All communications related to this Purchase Order shall be conducted in English or Arabic. In the event of any discrepancy between language versions, the Arabic version shall prevail.
9. The supplier shall adhere to all data protection and privacy standards as outlined by the Saudi Personal Data Protection Law (PDPL) when handling any footage containing identifiable individuals.
