This Purchase Order is issued by Teranga Media Productions SARL to formally engage the services of a professional Videographer and associated production team for a comprehensive corporate and cultural documentation project to be executed in Senegal Dakar. The Videographer shall be responsible for capturing, directing, and producing high-definition video content for a multi-day cultural festival and corporate branding initiative scheduled to take place across multiple venues in Dakar, Senegal, including the Corniche de Dakar, the National Museum of Black Civilizations, and the Plateau business district.
The scope of work for the Videographer includes but is not limited to: pre-production planning and location scouting within Senegal Dakar; on-site filming across a minimum of five (5) consecutive days; operation of professional-grade 4K cinema cameras, stabilizers, and audio recording equipment; direction of talent and interview subjects; real-time monitoring of footage quality; post-production editing, color grading, sound mixing, and delivery of final master files in formats suitable for broadcast, digital streaming, and social media distribution. The Videographer must demonstrate proven experience working in the West African region and familiarity with the cultural context of Senegal Dakar to ensure authentic and respectful representation of local traditions, music, and community life.

- Acceptance: This Purchase Order becomes a binding contract upon written acceptance by the Videographer service provider. The Videographer must confirm acceptance in writing within five (5) business days of receipt of this Purchase Order.
- Service Location: All filming and production activities shall take place exclusively within the boundaries of Senegal Dakar, including but not limited to the Plateau, Almadies, Ngor, and Corniche de Dakar districts. Any travel outside of Dakar, Senegal, must be pre-approved in writing by the Buyer.
- Payment Schedule: A 40% advance payment (XOF 5,192,000) shall be due within ten (10) business days of Purchase Order acceptance. The remaining 60% (XOF 7,788,000) shall be due within thirty (30) days of final delivery and written acceptance of all video deliverables by the Buyer.
- Deliverables: The Videographer shall deliver the following: (a) one (1) master edit of no less than 90 minutes in 4K resolution; (b) three (3) promotional cuts of 2 minutes each; (c) ten (10) social media clips of 30 seconds each; (d) all raw footage organized and backed up; (e) a full license for commercial use of all produced content.
- Intellectual Property: Upon full payment, all rights, titles, and interests in the video content produced under this Purchase Order shall vest exclusively in the Buyer. The Videographer retains the right to include the work in a professional portfolio subject to the Buyer's prior written consent.
- Compliance with Local Law: The Videographer and all crew members must comply with all applicable laws and regulations of the Republic of Senegal, including but not limited to filming permits required by the Senegalese Ministry of Culture, data protection regulations, and local labor laws in Dakar.
- Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance for the full duration of the project in Senegal Dakar. Certificates of insurance shall be provided prior to the commencement of filming.
- Cancellation: Either party may cancel this Purchase Order with a minimum of fourteen (14) days' written notice. In the event of cancellation by the Buyer after the Videographer has commenced pre-production, the Buyer shall be liable for all costs incurred up to the date of cancellation.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Senegal Dakar, or public health emergencies.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Senegal. Any disputes shall be resolved through arbitration in Dakar, Senegal, in accordance with the rules of the Senegalese Chamber of Commerce.
- Confidentiality: The Videographer agrees to maintain strict confidentiality regarding all project details, client information, and proprietary content encountered during the execution of this Purchase Order in Senegal Dakar.
