This Purchase Order is issued by Meridian Creative Solutions Pte. Ltd. to Apex Visual Media Services Pte. Ltd. for the engagement of professional Videographer services to be delivered within the jurisdiction of Singapore Singapore. Terms and Conditions of this Purchase Order
- Scope of Work: The Videographer and their team shall provide all services as described in the line items above. All filming shall take place at the venue specified by the Buyer within Singapore Singapore. The Videographer is responsible for bringing all necessary equipment unless otherwise stated in Item 05.
- Payment Terms: A 40% advance payment (SGD 9,286.80) shall be due within 7 calendar days of acceptance of this Purchase Order. The remaining 60% balance (SGD 13,930.20) shall be payable within 14 days of final delivery of all edited materials and raw footage. Payment shall be made via bank transfer to the account designated by the Supplier.
- Delivery Schedule: The Videographer shall complete all on-site filming by 28 June 2025. The edited highlight reel shall be delivered no later than 12 July 2025. Raw footage files shall be made available via secure cloud link within 14 business days of the final filming date.
- Revisions: The Buyer is entitled to two (2) rounds of revisions on the edited highlight reel at no additional cost. Any further revisions shall be billed at SGD 500 per round, subject to prior written approval on this Purchase Order.
- Intellectual Property: Upon full and final payment, all rights to the final edited video, raw footage, and associated media shall transfer to the Buyer. The Videographer retains the right to use short excerpts (not exceeding 30 seconds) in their professional portfolio, subject to the Buyer's written consent.
- Cancellation Policy: Cancellation by the Buyer more than 14 days prior to the scheduled filming date shall incur a 25% cancellation fee. Cancellation within 14 days shall incur a 50% fee. Cancellation within 72 hours of the scheduled date shall result in full payment of the advance amount.
- Insurance and Liability: The Videographer shall maintain comprehensive public liability insurance of no less than SGD 2,000,000 for all operations conducted within Singapore Singapore. The Supplier shall indemnify the Buyer against any claims arising from the Videographer's negligence or breach of this Purchase Order.
- Compliance: All services shall be performed in accordance with the laws of Singapore Singapore, including but not limited to the Personal Data Protection Act (PDPA), the Copyright Act, and all relevant aviation regulations for drone operations. The Videographer shall obtain all necessary permits for filming in public spaces within Singapore Singapore.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics affecting operations in Singapore Singapore.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Singapore Singapore. Any disputes arising herefrom shall be subject to the exclusive jurisdiction of the courts of Singapore Singapore.
