3. SCOPE OF SERVICES – VIDEOTOGRAPHER ENGAGEMENT

This Purchase Order is issued by Atlantic Coast Media Productions (Pty) Ltd to engage the services of Cape Lens Visual Studios (Pty) Ltd as a professional Videographer for the production of a multi-day corporate documentary and promotional video series. All filming, post-production, and delivery activities shall be conducted within the metropolitan area of South Africa Cape Town, with primary shooting locations including the V&A Waterfront, Table Mountain, the Cape Peninsula coastline, and the buyer's corporate offices in Sea Point. The Videographer shall provide all necessary equipment, crew support, and technical expertise as outlined in the line items below.

6. TERMS AND CONDITIONS

This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both parties. The Videographer shall commence work no earlier than the dates specified in Section 5.
All services shall be performed in the professional capacity of a Videographer operating within the jurisdiction of South Africa, specifically within the City of Cape Town, Western Cape Province. Compliance with all local municipal filming permit requirements and the National Film and Video Foundation (NFVF) guidelines is the sole responsibility of the Vendor.
Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from the Vendor, via electronic funds transfer (EFT) to the Vendor's designated bank account in South Africa Cape Town. Late payments shall accrue interest at the rate of 10% per annum.
The Videographer warrants that all footage, audio, and deliverables shall be original work free from any third-party intellectual property claims. All music, graphics, and stock assets used in post-production shall be fully licensed for commercial use in South Africa and internationally.
The Buyer retains full ownership of all final deliverables upon full payment. The Vendor may use up to thirty (30) seconds of the final production in their own portfolio and showreel, subject to prior written approval from the Buyer.
Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination after principal photography has commenced, the Buyer shall pay for all services rendered up to the date of termination on a pro-rata basis.
The Vendor shall maintain comprehensive public liability insurance of no less than R 5,000,000 and equipment insurance for the full duration of the production. Certificates of insurance shall be provided to the Buyer prior to the first day of shooting.
All personal data collected during the production (including but not limited to interviewee information) shall be handled in accordance with the Protection of Personal Information Act (POPIA), 2013, of South Africa.
Any disputes arising from this Purchase Order shall be subject to the jurisdiction of the High Court of South Africa, Cape Town Division. The governing law shall be the laws of the Republic of South Africa.
This Purchase Order may be amended only by mutual written agreement signed by both parties. No verbal modifications shall be binding.
