This Purchase Order is issued by Hana Media Productions Co., Ltd. to formally engage the services of Seoul Lens Creative Studio, a professional Videographer firm based in South Korea Seoul, for the production of a comprehensive corporate brand film and promotional video package. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming, post-production editing, color grading, sound design, and final delivery of all video assets. All filming and production activities shall take place exclusively within the metropolitan area of South Korea Seoul, including but not limited to the Gangnam, Jongno, and Mapo districts. The Videographer is expected to demonstrate in-depth knowledge of local filming permits, municipal regulations, and cultural considerations specific to South Korea Seoul.

- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Videographer (Seoul Lens Creative Studio) no later than June 15, 2025. Failure to accept by this date shall render this Purchase Order void.
- Payment Schedule: A 40% advance payment (KRW 7,150,000) is due within 5 business days of Purchase Order acceptance. The remaining 60% (KRW 10,725,000) shall be paid within 30 days of final delivery and written approval of all video assets by the Buyer.
- Location & Permits: The Videographer is solely responsible for obtaining all necessary filming permits, location clearances, and municipal approvals required for production activities in South Korea Seoul. All permit fees are included in the line-item costs above.
- Deliverables: The Videographer shall deliver all final video files in the formats and resolutions specified in Line Item 6. Delivery shall be made via secure cloud transfer to the Buyer's designated server. Physical media (SSD) delivery to the Buyer's office in South Korea Seoul is optional at no additional cost.
- Revisions: Two (2) rounds of revisions are included for each video deliverable. Additional revision rounds shall be billed at KRW 350,000 per round per video.
- Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables shall transfer to the Buyer. The Videographer retains the right to display the work in their professional portfolio and showreel, subject to the Buyer's prior written approval for any sensitive corporate content.
- Confidentiality: The Videographer and all crew members shall sign a Non-Disclosure Agreement (NDA) prior to the commencement of filming. All raw footage, project files, and production materials shall be treated as confidential information of the Buyer.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in South Korea Seoul, or public health emergencies. In such cases, the production schedule shall be extended by the duration of the disruption.
- Termination: Either party may terminate this Purchase Order with 7 days' written notice. In the event of termination by the Buyer after filming has commenced, the Videographer shall be compensated for all work completed and non-cancellable expenses incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising herefrom shall be resolved through arbitration in South Korea Seoul under the rules of the Korean Commercial Arbitration Board (KCAB).
- Insurance: The Videographer shall maintain comprehensive liability insurance and equipment insurance for the duration of the engagement, with a minimum coverage of KRW 100,000,000. Proof of insurance shall be provided prior to the first day of filming.
