This Purchase Order is issued by Meridian Global Communications S.L. (hereinafter "the Buyer") to formally request and authorize the engagement of LensCraft Visual Productions S.L. (hereinafter "the Videographer") to deliver professional videography services within the metropolitan area of Spain Madrid. All terms, conditions, and deliverables specified in this Purchase Order shall govern the professional relationship between the Buyer and the Videographer for the duration of the contracted project.

The Buyer hereby engages the Videographer to provide comprehensive video production services for a corporate brand campaign. The Videographer shall be responsible for all aspects of pre-production, on-site filming, and post-production editing. The primary filming location for this Purchase Order is the city of Spain Madrid, with specific venues including the Gran Vía commercial district, the Retiro Park grounds, and the Buyer's headquarters office at Calle de Serrano 45. The Videographer is expected to bring all necessary professional-grade equipment, including but not limited to 4K cinema cameras, stabilisation rigs, professional audio recording kits, lighting packages, and backup storage media.

The Videographer shall assign a minimum team of three (3) professionals: one lead Videographer / Director of Photography, one camera operator, and one production assistant. All personnel assigned under this Purchase Order must hold valid work permits for Spain Madrid and comply with all local municipal filming permit requirements issued by the Ayuntamiento de Madrid.

The Videographer shall adhere to the following production timeline as stipulated in this Purchase Order. All dates are subject to confirmation by the Buyer no later than five (5) business days prior to the start of filming in Spain Madrid:

Payment for this Purchase Order shall be made in accordance with the following schedule. All payments shall be processed via bank transfer to the Videographer's designated account in Spain Madrid. The Buyer shall issue payment within thirty (30) calendar days of receipt of a valid invoice from the Videographer.

• Advance Payment (40%): 10,164.00 EUR – due upon signature and acceptance of this Purchase Order.
• Mid-Production Payment (30%): 7,623.00 EUR – due upon completion of all three filming days in Spain Madrid.
• Final Payment (30%): 7,623.00 EUR – due upon Buyer's written acceptance of the final deliverables.

Late payments shall incur interest at the rate of 1.5% per month, calculated from the due date, in accordance with Spanish commercial law (Ley 3/2004 de lucha contra la morosidad en las operaciones comerciales).

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Spain. Any disputes arising from this Purchase Order shall be resolved by the competent courts of Madrid, Spain Madrid.
2. Intellectual Property: Upon full payment, all final video deliverables, raw footage, and project files produced by the Videographer under this Purchase Order shall become the exclusive property of the Buyer. The Videographer retains the right to display the work in their professional portfolio, subject to the Buyer's prior written approval.
3. Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance with a minimum coverage of 500,000 EUR for the entire duration of the project in Spain Madrid. Certificates of insurance shall be provided to the Buyer prior to the commencement of filming.
4. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to severe weather conditions affecting outdoor filming in Spain Madrid, government-mandated closures, or public health emergencies.
5. Confidentiality: The Videographer agrees to treat all information, trade secrets, and proprietary materials accessed during the execution of this Purchase Order as strictly confidential. This obligation shall survive for a period of three (3) years following final delivery.
6. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Videographer shall be compensated for all work completed and expenses incurred up to the date of termination.
7. Compliance: The Videographer warrants that all personnel engaged under this Purchase Order shall comply with all applicable Spanish labour laws, data protection regulations (GDPR / LOPDGDD), and municipal filming regulations in Spain Madrid.

By signing below, both parties acknowledge and agree to all terms, conditions, pricing, and deliverables set forth in this Purchase Order for the Videographer services to be performed in Spain Madrid. This document constitutes a binding agreement upon execution by both authorised representatives.

Please note: This Purchase Order is valid for a period of thirty (30) days from the date of issue. If not accepted within this period, the Buyer reserves the right to reissue or modify the terms.
