This Purchase Order is issued by Nile Media Productions Ltd. (hereinafter referred to as the "Buyer") to formally engage the services of Al-Asr Visual Media Co. (hereinafter referred to as the "Supplier" or the "Videographer") for the provision of professional videography services to be executed in Sudan Khartoum. This Purchase Order constitutes a binding agreement between the two parties and governs all terms, conditions, deliverables, and payment arrangements related to the engagement of the Videographer for the production of a comprehensive corporate documentary series covering industrial, cultural, and humanitarian activities across the Sudan Khartoum metropolitan area and its surrounding regions.
The Videographer shall provide the following professional services as outlined in this Purchase Order:

All filming activities by the Videographer team shall commence on 1 July 2025 and conclude no later than 31 July 2025. The entire production cycle, including post-production, shall be completed and delivered to the Buyer by 30 August 2025. All on-location work shall take place within the Sudan Khartoum metropolitan area, including the districts of Khartoum, Omdurman, and Bahri. The Videographer is required to obtain all necessary filming permits from the Sudan National Film Commission and local municipal authorities in Sudan Khartoum prior to the commencement of any shooting activity. The Buyer shall provide logistical support, including transportation and local security coordination, for the Videographer team throughout the production period in Sudan Khartoum.
Payment for the services rendered under this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the account of the Videographer as follows:

All payments are subject to the Buyer's verification that the Videographer has fulfilled the corresponding obligations outlined in this Purchase Order. Late payments shall incur an interest charge of 1.5% per month, calculated from the due date.
- Compliance with Local Law: The Videographer shall comply with all applicable laws, regulations, and filming permits required for video production in Sudan Khartoum, including but not limited to the Sudan National Film Commission regulations and the Ministry of Culture and Information guidelines.
- Intellectual Property: Upon full payment, all raw footage, edited materials, and final deliverables produced by the Videographer under this Purchase Order shall become the exclusive property of the Buyer. The Videographer retains the right to use excerpts for portfolio and promotional purposes, subject to prior written approval from the Buyer.
- Confidentiality: The Videographer shall treat all information, locations, and subjects encountered during filming in Sudan Khartoum as strictly confidential. No footage or stills shall be published, shared, or distributed without the express written consent of the Buyer.
- Insurance and Liability: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance for the duration of the engagement in Sudan Khartoum. The Videographer shall be solely responsible for any damage to equipment or injury to personnel arising from the production activities.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to civil unrest, natural disasters, government-imposed restrictions on filming in Sudan Khartoum, or pandemics. In such cases, the affected party shall notify the other within 48 hours, and the production schedule shall be adjusted accordingly.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Buyer shall pay the Videographer for all services rendered and expenses incurred up to the date of termination, as documented in this Purchase Order.
- Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be submitted to arbitration under the rules of the Sudan Arbitration Centre in Khartoum, Sudan.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan, with jurisdiction vested in the courts of Sudan Khartoum.
The Buyer shall have a period of ten (10) business days from the date of delivery to review and accept or reject the final deliverables produced by the Videographer. Deliverables must meet the technical specifications outlined in Annex A of this Purchase Order, including 4K resolution (3840x2160), 24fps frame rate, 10-bit color depth, and embedded 5.1 surround sound. Any rejection must be accompanied by a detailed written list of required revisions, which the Videographer shall address within seven (7) business days at no additional cost to the Buyer.
