• 1. Acceptance: This Purchase Order constitutes a binding offer. The Videographer and Zurich Lens Studios GmbH must confirm acceptance in writing within five (5) business days of the issue date to proceed with the engagement.
• 2. Scope Adherence: The Videographer shall deliver all footage and edited content strictly in accordance with the specifications outlined in this Purchase Order. Any additional services beyond the listed items in Switzerland Zurich or elsewhere require a written change order approved by both parties.
• 3. Delivery Schedule: The Videographer shall deliver the rough cut within seven (7) business days of the event. The final edited master, color-graded and sound-mixed, must be delivered no later than 01 August 2025. All deliverables shall be provided via secure cloud transfer and physical SSD media.
• 4. Payment: Payment of the full amount of CHF 12,816.30 shall be made within thirty (30) days of receipt of a valid invoice from Zurich Lens Studios GmbH. Payment shall be processed via bank transfer to the account specified on the invoice. Late payments shall incur interest at 5% per annum as per Swiss commercial law.
• 5. Intellectual Property: Upon full payment, all raw footage, edited content, and associated media produced by the Videographer during this engagement in Switzerland Zurich shall become the exclusive property of Alpine Media Productions AG. • 6. Insurance and Liability: The Videographer and Zurich Lens Studios GmbH shall maintain comprehensive professional liability insurance with a minimum coverage of CHF 1,000,000 for all activities conducted in Switzerland Zurich. Proof of insurance must be provided prior to the event date.
• 7. Cancellation Policy: Cancellation of this Purchase Order by Alpine Media Productions AG more than fourteen (14) days before the event date shall result in a 10% administrative fee. Cancellation within fourteen (14) days shall incur a 50% charge. The Videographer may cancel with a 100% refund obligation if the cancellation is due to force majeure.
