This Purchase Order is issued by East African Media & Communications Ltd. to engage the services of a professional Videographer and associated production crew for the filming, editing, and post-production of a corporate documentary series. All principal photography, secondary shoots, and on-location videography shall be conducted within the boundaries of Tanzania Dar es Salaam, with possible short excursions to nearby coastal districts as specified in the attached production schedule. The Videographer is expected to deliver broadcast-quality footage suitable for distribution across national and regional media platforms operating in Tanzania Dar es Salaam and the broader East African region.

The Videographer and production team shall be responsible for the following deliverables, all to be completed and delivered to the Issuing Company no later than 30 September 2025:

• Three (3) fully edited, colour-graded, and sound-mixed documentary episodes, each approximately 25 minutes in duration, delivered in 4K UHD (3840 × 2160) MP4 format with embedded 5.1 surround audio.
• One (1) promotional trailer (90 seconds) and a set of twelve (12) social media clips (15–30 seconds each) for digital distribution.
• Raw footage archive: All unedited camera files, audio recordings, and drone footage shall be backed up to two (2) external SSD drives and one (1) cloud storage repository, with a copy handed over to the Issuing Company.
• A written production report documenting all shoot dates, locations within Tanzania Dar es Salaam, crew attendance, and any deviations from the approved schedule.

1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from this Purchase Order relating to the Videographer engagement in Tanzania Dar es Salaam shall be resolved through arbitration in Dar es Salaam under the rules of the Tanzania Centre for Arbitration.
2. Payment Schedule: A 30% advance payment (TZS 17,717,700) shall be made within seven (7) business days of acceptance of this Purchase Order. A further 40% (TZS 23,623,600) shall be due upon delivery of all raw footage. The remaining 30% (TZS 17,717,700) shall be payable within thirty (30) days of final acceptance of all edited deliverables.
3. Intellectual Property: Upon full and final payment, all rights, title, and interest in the finished videos, raw footage, and associated media shall vest in East African Media & Communications Ltd. The Videographer retains the right to include behind-the-scenes stills in a personal portfolio, subject to prior written approval.
4. Insurance: The Videographer and all crew members must carry valid professional liability insurance and personal accident coverage for the entire duration of the shoot in Tanzania Dar es Salaam. Certificates of insurance shall be provided before the first day of filming.
5. Compliance: The Videographer shall comply with all applicable Tanzanian laws, including the Tanzania Communications Authority (TCAA) regulations for drone operations, the Tanzania Film Commission guidelines, and all municipal by-laws of the Dar es Salaam City Council.
6. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather, government-imposed restrictions, or civil unrest in Tanzania Dar es Salaam.
7. Termination: Either party may terminate this Purchase Order with fourteen (14) days’ written notice. In the event of termination, the Videographer shall be compensated for all work completed and non-cancellable expenses incurred up to the date of termination.

This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. The Videographer or authorized representative of Safari Lens Productions (Tanzania) Ltd. shall sign and return a copy of this document to confirm acceptance of all terms, conditions, and pricing outlined above.

This Purchase Order (PO-TZD-2025-0472) constitutes a binding agreement for the engagement of Videographer services in Tanzania Dar es Salaam. All communications regarding this Purchase Order should reference the PO number above. This document is issued in two (2) original copies, one for each party.
