This Purchase Order is issued by Meridian Global Media Solutions Ltd. to engage the services of a professional Videographer and associated production crew for a comprehensive corporate and promotional video production project to be executed in Turkey Ankara. The Videographer and the full production team shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and final delivery of high-resolution video assets. The entire scope of work, including all location scouting, equipment deployment, and crew coordination, shall take place within the metropolitan area of Ankara, the capital city of Turkey, and its surrounding districts including Çankaya, Kızılay, and the historic areas of the city.

The Videographer engaged under this Purchase Order must demonstrate a minimum of eight (8) years of professional experience in corporate, commercial, and documentary videography. The Videographer shall bring a fully equipped production kit, including but not limited to 4K and 8K cinema cameras, professional-grade lenses, stabilizing rigs, drone units (with appropriate Turkish aviation authority permits for Ankara airspace), lighting packages, and high-fidelity audio recording equipment. All equipment must be maintained to industry-standard condition and fully insured for the duration of the project in Turkey Ankara.

1. Scope of Work: The Videographer and production team shall perform all services strictly within the geographic boundaries of Ankara, Turkey, unless otherwise authorized in writing by the Issuing Company. Any travel beyond Ankara, Turkey, shall require a separate amendment to this Purchase Order.
2. Payment: A 40% advance payment shall be due upon acceptance of this Purchase Order. The remaining 60% shall be due within thirty (30) calendar days of final delivery of all video assets. All payments shall be made via international wire transfer to the bank account specified above.
3. Intellectual Property: Upon full and final payment, all rights, title, and interest in the finished video deliverables, including all raw footage, project files, and associated media, shall transfer exclusively to Meridian Global Media Solutions Ltd. The Videographer retains the right to include selected clips in a professional portfolio, subject to prior written approval.
4. Insurance & Liability: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance valid in Turkey for the entire duration of the project. The Videographer assumes full responsibility for any damage to property or injury to persons arising from filming activities in Ankara, Turkey.
5. Permits & Compliance: The Videographer is solely responsible for obtaining all necessary filming permits, drone operation licenses, and location clearances from the relevant Turkish municipal and national authorities in Ankara, Turkey. All permits must be secured prior to the commencement of principal photography.
6. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions in Turkey, or political instability affecting Ankara, Turkey.
7. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes shall be resolved through arbitration in Ankara, Turkey, in accordance with the rules of the Istanbul Arbitration Center (ISTAC).
8. Confidentiality: The Videographer agrees to maintain strict confidentiality regarding all client information, trade secrets, and proprietary content encountered during the production in Turkey Ankara. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
9. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Videographer shall be compensated for all services rendered and expenses incurred up to the date of termination.
