This Purchase Order is issued by Meridian Global Media Solutions Ltd. to formally engage the services of a professional Videographer and associated production team for a comprehensive corporate branding and promotional video project to be filmed and produced in Turkey Istanbul. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming, post-production editing, color grading, sound design, and final delivery of the completed video assets. The project location is specifically designated as Turkey Istanbul, encompassing filming at multiple sites including the historic Sultanahmet district, the modern business corridors of Maslak, and the waterfront areas along the Bosphorus Strait. The Videographer must possess extensive familiarity with the geography, lighting conditions, and cultural context of Turkey Istanbul to ensure authentic and visually compelling footage.

1. Payment Terms: A 40% advance payment ($22,728.00) is due within 5 business days of acceptance of this Purchase Order. The remaining 60% ($34,092.00) shall be paid within 15 business days of final delivery and written acceptance of all video assets by the Buyer.
2. Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables, including all raw footage captured in Turkey Istanbul, shall transfer exclusively to Meridian Global Media Solutions Ltd. The Videographer and Bosphorus Visual Productions A.Ş. retain the right to display the work in their professional portfolio, subject to a 30-day embargo period.
3. Revisions: The Videographer shall include two (2) rounds of revisions in the post-production phase. Additional revision rounds shall be billed at $1,200 per round.
4. Location Permits & Compliance: The Videographer and production team are solely responsible for obtaining all necessary filming permits, location clearances, and drone operation licenses required by the relevant authorities in Turkey Istanbul, including but not limited to the Istanbul Metropolitan Municipality and the Turkish Directorate General of Civil Aviation.
5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather affecting filming in Turkey Istanbul, government-mandated shutdowns, or civil unrest.
6. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Turkey. Any disputes shall be resolved through arbitration in Istanbul under the rules of the Istanbul Arbitration Centre (ISTAC).
7. Insurance: The Videographer and production crew must maintain comprehensive professional liability insurance and equipment insurance valid throughout the duration of the project in Turkey Istanbul. Certificates of insurance shall be provided prior to the commencement of filming.
8. Confidentiality: All parties agree to maintain strict confidentiality regarding the content, script, and strategic intent of the video project. No footage, stills, or behind-the-scenes material from the Turkey Istanbul shoot shall be disclosed to third parties without prior written consent.
