This Purchase Order is issued by East African Media & Communications Ltd. to Nile Vision Productions Ltd. for the engagement of a professional Videographer and associated production crew to deliver comprehensive video production services within Uganda Kampala and its surrounding districts. The Videographer shall be responsible for all aspects of pre-production planning, on-site filming, post-production editing, and final delivery of broadcast-quality video content as specified below.

- This Purchase Order constitutes a binding agreement between the Buyer and the Vendor upon signature by both parties. All services shall be performed in accordance with the standards expected of a professional Videographer operating in Uganda Kampala and in compliance with the laws of the Republic of Uganda.
- The Videographer and all crew members shall carry valid professional insurance, including public liability and equipment coverage, for the entire duration of the engagement in Uganda Kampala.
- Payment shall be made within thirty (30) calendar days of receipt of a valid tax invoice from Nile Vision Productions Ltd. Payment shall be processed via bank transfer to the Vendor's designated account in Ugandan Shillings (UGX).
- All intellectual property rights in the final video deliverables shall transfer to the Buyer upon full and final payment. The Videographer retains the right to include the work in a professional portfolio, subject to the Buyer's prior written approval.
- The Vendor shall provide a minimum of forty-eight (48) hours' written notice for any cancellation or rescheduling of filming dates. Cancellations within forty-eight hours shall incur a fee of fifty percent (50%) of the daily rate for the affected day.
- All raw footage, project files, and intermediate renders shall be retained by the Videographer for a period of ninety (90) days following final delivery, after which they may be securely deleted at the Vendor's discretion.
- This Purchase Order is governed by the laws of the Republic of Uganda. Any disputes arising from this agreement shall be resolved through mediation in Kampala, Uganda, before resorting to litigation in the competent courts of Uganda Kampala.
- The Vendor warrants that all equipment used in the production shall be in full working order and that the Videographer possesses the requisite skills, certifications, and experience to deliver the services described in this Purchase Order to a professional standard.
- Neither party shall be liable for delays or non-performance caused by force majeure events, including but not limited to natural disasters, government-imposed restrictions, or civil unrest affecting operations in Uganda Kampala.
