This Purchase Order is issued by Al Noor Media & Events LLC to engage the services of a professional Videographer and associated production crew for the filming, editing, and post-production of a corporate promotional video series. All services shall be rendered within the jurisdiction of United Arab Emirates Abu Dhabi, specifically at the buyer’s corporate headquarters on Al Reem Island and at the designated outdoor location at Corniche Beach, Abu Dhabi. The Videographer is expected to deliver broadcast-quality footage suitable for distribution across digital platforms, corporate presentations, and the annual investor conference scheduled for September 2025 in Abu Dhabi.

5. Payment Terms

Payment shall be made in United Arab Emirates Dirhams (AED) via bank transfer to the vendor’s designated account. The payment schedule for this Purchase Order is as follows:

• 30% Advance (AED 31,681.50): Due within 5 business days of Purchase Order acceptance, prior to commencement of filming.
• 40% Progress Payment (AED 42,242.00): Due upon delivery and buyer’s written approval of the rough cut by 10 July 2025.
• 30% Final Payment (AED 31,681.50): Due within 10 business days of receipt of all final deliverables and issuance of a valid UAE Tax Invoice by the Videographer.

Late payments shall incur a penalty of 1.5% per month as per UAE commercial law. All amounts are inclusive of 5% UAE Value Added Tax (VAT) as mandated by the Federal Tax Authority of the United Arab Emirates.

6. Terms & Conditions

6.1 This Purchase Order is governed by the laws of the United Arab Emirates and the specific regulations applicable in Abu Dhabi. Any disputes arising from this Purchase Order shall be resolved through the Abu Dhabi Courts of First Instance, and the parties agree to the jurisdiction of the United Arab Emirates Abu Dhabi legal system.
6.2 The Videographer shall hold all necessary permits, licenses, and insurance (including public liability insurance of no less than AED 2,000,000) required to operate commercial filming equipment within Abu Dhabi. Drone operations must comply with the General Civil Aviation Authority (GCAA) of the UAE and local Abu Dhabi Civil Aviation regulations.
6.3 All raw footage, edited materials, and intellectual property created under this Purchase Order shall become the sole property of Al Noor Media & Events LLC upon full payment. The Videographer retains the right to display the final work in their professional portfolio with prior written consent from the buyer.
6.4 The Videographer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and internal operations of the buyer observed during filming in Abu Dhabi. A separate Non-Disclosure Agreement (NDA) is attached as Annex A.
6.5 Cancellation or modification of this Purchase Order must be communicated in writing at least 7 business days prior to the scheduled filming date. Cancellation within 7 days shall be subject to a 50% fee on the remaining balance.
6.6 The Videographer is responsible for providing all professional-grade equipment, including but not limited to 4K cinema cameras, stabilizers, wireless audio systems, and lighting rigs, unless otherwise specified in this Purchase Order.
6.7 Force majeure events, including but not limited to severe weather conditions common to the Abu Dhabi climate, government-mandated shutdowns, or public health emergencies, shall excuse timely performance without penalty, provided the affected party notifies the other within 48 hours.

7. Acceptance & Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for Videographer services to be performed in United Arab Emirates Abu Dhabi. This document constitutes a binding commercial agreement effective from the date of the last signature.
