This Purchase Order is issued by Al Noor Media Productions LLC to formally engage the services of Creative Lens Studios FZE, a licensed and professional Videographer operating within United Arab Emirates Dubai, for the production of a comprehensive corporate brand film and a series of promotional video assets. The Videographer shall be responsible for all aspects of pre-production planning, on-location filming, post-production editing, color grading, sound design, and final delivery of all video content in formats suitable for broadcast, digital marketing, and corporate presentation use. All filming locations shall be within the boundaries of United Arab Emirates Dubai, including but not limited to Downtown Dubai, Dubai Marina, Palm Jumeirah, and the Dubai International Financial Centre (DIFC). The Videographer is required to hold a valid UAE media permit issued by the Dubai Media Office and must comply with all local regulations governing commercial filming in United Arab Emirates Dubai.

- Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Videographer (Creative Lens Studios FZE) and signature by both parties. The Videographer must confirm acceptance within five (5) business days of the date of issue.
- Payment: Payment shall be made in AED via bank transfer to the account designated by the Videographer. A 40% advance payment is due upon signing of this Purchase Order. The remaining 60% balance is due within thirty (30) days of final delivery and written acceptance of all video assets by the Buyer.
- Intellectual Property: Upon full and final payment, all rights, title, and interest in the delivered video content, including but not limited to the corporate brand film and promotional cuts, shall vest exclusively in Al Noor Media Productions LLC. The Videographer retains the right to display the work in their professional portfolio and showreel, subject to prior written approval from the Buyer.
- Compliance with UAE Law: The Videographer warrants that all filming activities conducted in United Arab Emirates Dubai shall be carried out in full compliance with the laws and regulations of the United Arab Emirates, including but not limited to the UAE Media Regulatory Authority guidelines, Dubai Media Office permits, and data protection requirements under the UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).
- Revisions: The Videographer shall provide up to three (3) rounds of revisions on the final edit at no additional cost. Any revisions beyond the third round shall be billed at AED 1,500 per hour.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to government-issued filming restrictions in United Arab Emirates Dubai, severe weather conditions, or public health emergencies.
- Confidentiality: The Videographer agrees to maintain strict confidentiality regarding all proprietary information, trade secrets, and unreleased content encountered during the production. This obligation shall survive the termination of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination by the Buyer for convenience, the Videographer shall be compensated for all work completed and expenses incurred up to the date of termination.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
- Insurance: The Videographer shall maintain comprehensive professional liability insurance and equipment insurance with a minimum coverage of AED 1,000,000 for the duration of the engagement in United Arab Emirates Dubai.
