This Purchase Order is issued to engage the services of a professional Videographer for a multi-day corporate filming project to be conducted in United Kingdom Birmingham. - Payment shall be made by BACS bank transfer to the Videographer's nominated account.
- 30% deposit (£10,854.00) due upon acceptance of this Purchase Order.
- 40% progress payment (£14,472.00) due upon completion of principal photography.
- 30% final balance (£10,854.00) due within 30 days of final delivery and written acceptance.
- All invoices must reference Purchase Order number PO-2025-BHM-00472.
- Late payments shall attract interest at 4% above the Bank of England base rate per the Late Payment of Commercial Debts (Interest) Act 1998.
- This Purchase Order is governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of United Kingdom Birmingham.
- The Videographer warrants that all footage, music, and visual assets delivered shall be original and free from any third-party intellectual property claims. Full indemnification is provided to Meridian Creative Solutions Ltd.
- The Videographer shall carry valid public liability insurance of no less than £5,000,000 and professional indemnity insurance of no less than £2,000,000 for the duration of the engagement in United Kingdom Birmingham.
- All personnel deployed by the Videographer must comply with Meridian Creative Solutions' site safety and health regulations. A valid Risk Assessment and Method Statement (RAMS) must be submitted 48 hours prior to any on-site filming.
- The Videographer shall not subcontract any portion of the services without prior written consent from the Buyer.
- Confidentiality: All information, footage, and materials obtained during the engagement are classified as confidential. The Videographer shall not disclose, publish, or use such materials for portfolio or marketing purposes without express written permission.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather, civil unrest, or government-mandated restrictions affecting operations in United Kingdom Birmingham.
- Termination: Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the Videographer shall be compensated for all work completed and non-cancellable expenses incurred up to the date of termination.
