1. This Purchase Order constitutes a binding agreement between Meridian Creative Productions Ltd. (hereinafter "the Buyer") and Apex Visual Media & Videography Services Ltd. (hereinafter "the Videographer Supplier") upon acceptance and signature by both parties.
2. The Videographer Supplier shall commence all pre-production activities no later than 20 June 2025 and shall deliver the final edited corporate brand film no later than 29 August 2025. All six promotional video assets shall be delivered by 15 September 2025.
3. All filming, post-production, and delivery activities shall be conducted in and around United Kingdom London. The Videographer Supplier is responsible for obtaining any necessary filming permits, location clearances, and insurance coverage required for operations within United Kingdom London.
4. Payment shall be made within thirty (30) calendar days of receipt of a valid VAT invoice from the Videographer Supplier. Payment shall be made via BACS bank transfer to the account details provided on the invoice. Late payments shall attract interest at a rate of 4% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
5. The Videographer Supplier warrants that all footage, edits, graphics, and audio content delivered under this Purchase Order shall be original, free from any third-party intellectual property claims, and shall not infringe upon any copyright, trademark, or other proprietary rights.
6. Upon full and final payment, all intellectual property rights in the delivered video content shall transfer exclusively to Meridian Creative Productions Ltd. The Videographer Supplier retains the right to include the work in their professional portfolio, subject to the Buyer's prior written approval.
7. The Videographer Supplier shall carry public liability insurance of no less than £10,000,000 and professional indemnity insurance of no less than £5,000,000 for the duration of the engagement in United Kingdom London. Certificates of insurance shall be provided to the Buyer prior to the commencement of filming.
8. Either party may terminate this Purchase Order with fourteen (14) days' written notice in the event of a material breach by the other party that remains unremedied within the notice period. In the event of termination, the Videographer Supplier shall be compensated for all work completed and materials procured up to the date of termination.
9. All disputes arising from or in connection with this Purchase Order shall be governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of United Kingdom London.
10. The Videographer Supplier shall comply with all applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, in respect of any personal data captured during filming in United Kingdom London.
11. This Purchase Order may be amended only by written agreement signed by authorised representatives of both parties. No verbal or email correspondence shall constitute a valid amendment to the terms set out herein.
