- Acceptance: This Purchase Order becomes a binding agreement upon written acceptance by the Videographer (Lone Star Visual Studios, Inc.) and countersignature by the Buyer. No work shall commence until both parties have executed this document.
- Scope of Work: The Videographer shall perform all services in a professional and workmanlike manner consistent with industry standards for commercial video production in United States Houston. Any changes to scope must be documented in a written change order signed by both parties.
- Intellectual Property: Upon full payment, all final video deliverables, raw footage, and project files shall become the sole property of Gulf Coast Media Productions LLC. The Videographer retains the right to use short excerpts (no longer than 30 seconds) in their professional portfolio with prior written consent from the Buyer.
- Payment: Payment shall be made within thirty (30) days of receipt of a valid invoice following final delivery. Late payments shall accrue interest at a rate of 1.5% per month. A 25% deposit is due upon signing of this Purchase Order to secure the Videographer's schedule.
- Insurance & Liability: The Videographer shall maintain general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) coverage of $1,000,000. Certificates of insurance naming the Buyer as additional insured must be provided prior to the first day of production in United States Houston.
- Compliance: The Videographer shall comply with all applicable laws and regulations, including but not limited to FAA regulations for drone operations, Texas state labor laws, and any local permits required for filming in public spaces within United States Houston.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information, trade secrets, and business strategies disclosed during the course of this engagement. This obligation survives termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination. The Videographer shall deliver all footage and materials in their possession within five (5) business days of termination.
- Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to severe weather events common to United States Houston (hurricanes, flooding), acts of God, government orders, or pandemics.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Texas, United States. Any disputes shall be resolved through binding arbitration in Harris County, United States Houston, in accordance with the rules of the American Arbitration Association.
- Entire Agreement: This Purchase Order, together with any attached exhibits and change orders, constitutes the entire agreement between the parties regarding the Videographer services described herein and supersedes all prior negotiations, representations, or agreements.
