This Purchase Order constitutes a binding agreement between both parties upon full execution and acceptance. The Videographer shall deliver all services in accordance with the specifications, timelines, and quality standards outlined herein. All work under this Purchase Order shall be conducted within the jurisdiction of the United States Los Angeles region, and the Videographer acknowledges familiarity with local filming permits, municipal regulations, and industry standards applicable to the United States Los Angeles area.

The Videographer shall adhere to the following production timeline, all dates falling within the United States Los Angeles operational calendar:

5.1 Acceptance. This Purchase Order shall become effective upon written acceptance by the Videographer. The Videographer must return a signed copy of this Purchase Order to the Buyer within five (5) business days of receipt.

5.2 Payment. Payment shall be made via wire transfer to the bank account designated by the Videographer. Invoicing shall be issued upon completion of each milestone. The Buyer shall remit payment within thirty (30) days of invoice receipt. Late payments shall accrue interest at 1.5% per month.

5.3 Intellectual Property. Upon full payment, all rights, title, and interest in the final video deliverables and raw footage shall transfer exclusively to the Buyer. The Videographer retains the right to use short excerpts (no longer than thirty seconds) for portfolio and marketing purposes, provided the Buyer's name is credited.

5.4 Insurance and Liability. The Videographer shall maintain comprehensive general liability insurance of no less than $2,000,000 per occurrence and professional liability (errors and omissions) coverage of $1,000,000. Certificates of insurance naming the Buyer as additional insured must be provided prior to the first day of production in the United States Los Angeles area.

5.5 Compliance. The Videographer warrants that all personnel, equipment, and operations shall comply with all applicable federal, state (California), and local (City of Los Angeles) laws and regulations. This includes but is not limited to FAA drone regulations, California labor laws, and United States Los Angeles municipal filming ordinances.

5.6 Force Majeure. Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to severe weather affecting the United States Los Angeles region, natural disasters, government-mandated shutdowns, or pandemics.

5.7 Termination. Either party may terminate this Purchase Order with fourteen (14) days written notice. In the event of termination, the Buyer shall pay for all services rendered and expenses incurred up to the date of termination.

5.8 Governing Law. This Purchase Order shall be governed by and construed in accordance with the laws of the State of California, with venue in the Superior Court of Los Angeles County, United States Los Angeles.

The Buyer shall have five (5) business days following delivery of the final edit to review and approve the video deliverables. Acceptance shall be confirmed in writing. If the Buyer identifies deficiencies, the Videographer shall correct them at no additional cost within ten (10) business days. Failure to respond within the review period shall constitute deemed acceptance.
