This Purchase Order serves as a binding agreement between the buyer and the vendor for the engagement of the Videographer and their supporting crew. The Videographer shall be responsible for all aspects of video production including pre-production planning, on-site filming, post-production editing, color grading, sound mixing, and final delivery of all media assets. The Videographer must hold a valid New York State professional license and carry comprehensive liability insurance with a minimum coverage of $2,000,000 per occurrence, as required for all commercial filming operations in United States New York City.

Payment for this Purchase Order shall be made via wire transfer to the vendor's designated bank account in accordance with the following schedule: a 30% deposit ($8,466.56) due upon acceptance of this Purchase Order; 40% ($11,288.74) due upon completion of all on-site filming; and the remaining 30% ($8,466.55) due within fifteen (15) business days of final delivery and written acceptance of all video deliverables. Late payments shall accrue interest at a rate of 1.5% per month as permitted under New York State commercial law. All payments are subject to the terms and conditions stated in this Purchase Order and the master service agreement on file between both parties.

The Videographer shall commence pre-production activities no later than June 20, 2025. All on-site filming in United States New York City shall be completed by July 18, 2025. Final edited deliverables must be submitted to the buyer's project manager no later than August 8, 2025. The Videographer agrees to adhere to all filming schedules and location restrictions imposed by the City of New York, including but not limited to noise ordinances, street closure permits, and building access protocols. Any delays caused by the vendor shall result in a penalty of $500 per business day, deducted from the final invoice.

• Intellectual Property: Upon full payment, all rights, title, and interest in the final video deliverables shall transfer exclusively to Manhattan Creative Productions LLC. The Videographer retains the right to display the work in their professional portfolio with prior written consent from the buyer.
• Compliance: The Videographer and all crew members must comply with all federal, New York State, and New York City regulations governing commercial filming, including but not limited to NYC Film Office permits, OSHA safety standards, and FAA drone regulations.
• Confidentiality: The Videographer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and internal operations observed during filming at the buyer's premises in United States New York City. This obligation survives termination of this Purchase Order for a period of three (3) years.
• Insurance: The vendor shall maintain general liability insurance of no less than $2,000,000 per occurrence and $5,000,000 aggregate, workers' compensation as required by New York State law, and professional liability (errors and omissions) coverage of $1,000,000. Certificates of insurance must be provided prior to the commencement of any filming activity.
• Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination by the buyer for convenience, the vendor shall be compensated for all services rendered and non-cancellable expenses incurred up to the date of termination.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of New York, United States.
