The Videographer shall ensure all deliverables meet the technical specifications outlined in Appendix A of this Purchase Order.

The Videographer shall commence on-site filming in United States San Francisco on July 18, 2025, with a scheduled completion of all principal photography by July 20, 2025. Post-production and final delivery of all edited video assets shall be completed no later than August 15, 2025. All deliverables shall be transmitted via secure cloud transfer and a physical 2TB SSD drive delivered to the purchasing party's office at 1450 Market Street, San Francisco, California. The Videographer is responsible for obtaining all necessary filming permits from the City and County of San Francisco, including but not limited to permits from the San Francisco Film Office for any public location shoots.
- Deposit: 40% of the total Purchase Order value ($10,242.40) due upon execution of this document, payable within 5 business days via wire transfer to the account designated by the Videographer.
- Progress Payment: 30% of the total ($7,681.80) due upon completion of principal photography and delivery of raw footage, no later than July 25, 2025.
- Final Payment: 30% of the total ($7,681.80) due upon acceptance of the final edited deliverables, no later than August 20, 2025.
- All payments shall be made in United States Dollars (USD) to the bank account specified in the Videographer's invoice. Late payments shall accrue interest at a rate of 1.5% per month.
- This Purchase Order is governed by the laws of the State of California, United States. Any disputes arising from this agreement shall be resolved through binding arbitration in United States San Francisco in accordance with the rules of the American Arbitration Association.
- The Videographer warrants that all footage captured and delivered shall be original work, free from any intellectual property infringement, and that all music, stock footage, or third-party assets used in post-production shall be properly licensed.
- The purchasing party retains full ownership of all final video deliverables upon completion of the final payment. The Videographer may retain a limited license to use excerpts for portfolio and promotional purposes, subject to prior written approval.
- The Videographer shall maintain comprehensive liability insurance (minimum $2,000,000) and professional indemnity insurance for the duration of the engagement in United States San Francisco.
- Either party may terminate this Purchase Order with 14 days' written notice. In the event of termination, the purchasing party shall be entitled to a pro-rata refund for services not yet rendered.
- The Videographer shall comply with all applicable federal, state, and local regulations in United States San Francisco, including but not limited to FAA regulations for drone operations, California labor laws, and the San Francisco Municipal Code regarding commercial filming.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all proprietary information exchanged during the course of this Purchase Order. This obligation shall survive termination for a period of three (3) years.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, severe weather affecting United States San Francisco, government-mandated shutdowns, or pandemics.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for Videographer services to be performed in United States San Francisco. This document constitutes a complete and final agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements.
