This Purchase Order is issued by Andes Media Productions, C.A. to formally authorize and request the professional services of a certified Videographer and associated production crew for a comprehensive corporate video project to be executed in Venezuela Caracas. The engagement covers all phases of pre-production, on-site filming, post-production editing, color grading, sound mixing, and final delivery of broadcast-quality video content. The Videographer shall be responsible for directing, operating, and managing all camera equipment, lighting rigs, audio capture devices, and supporting technical infrastructure throughout the duration of the project in Venezuela Caracas.
The Videographer is expected to bring a minimum of eight (8) years of professional experience in corporate, commercial, and documentary video production. All filming locations will be situated within the metropolitan area of Venezuela Caracas, including but not limited to the Chacao, El Rosal, and Los Palos Grandes districts. The Videographer shall coordinate with the Buyer's project manager to confirm location permits, scheduling, and logistical requirements specific to operating in Venezuela Caracas.

- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon signature by both parties. All services described herein shall be rendered by the designated Videographer and crew in Venezuela Caracas in accordance with the schedule outlined in Section 5.
- The Videographer shall provide all necessary professional equipment, including but not limited to cinema-grade cameras, lenses, stabilizers, wireless audio systems, and lighting packages. Any equipment failure during filming in Venezuela Caracas shall be the sole responsibility of the Supplier to resolve within four (4) hours.
- Payment shall be made in United States Dollars (USD) via bank transfer to the account designated by the Supplier. A 40% advance payment is due upon acceptance of this Purchase Order, and the remaining 60% is due within thirty (30) calendar days of final delivery and written acceptance by the Buyer.
- All intellectual property rights, including but not limited to raw footage, edited sequences, color-graded masters, and audio files, shall transfer exclusively to the Buyer upon full payment. The Videographer retains the right to include a limited selection of still frames in a professional portfolio, subject to prior written consent from the Buyer.
- The Supplier shall comply with all applicable laws and regulations of the Bolivarian Republic of Venezuela, including but not limited to labor laws, tax obligations, and any municipal permits required for filming in Venezuela Caracas. The Videographer shall ensure that all crew members hold valid work authorizations.
- In the event of force majeure, including but not limited to severe weather, civil unrest, or government-mandated shutdowns in Venezuela Caracas, either party may suspend performance without penalty. The affected party shall notify the other within twenty-four (24) hours, and the schedule shall be adjusted by mutual written agreement.
- Any revisions to the scope of work beyond the initial three (3) filming days shall be documented in a written addendum to this Purchase Order and shall be subject to additional charges at the rates specified in Section 4.
- Disputes arising from this Purchase Order shall be resolved through mediation in Venezuela Caracas before any formal legal proceedings are initiated. The governing law shall be that of the Bolivarian Republic of Venezuela.
- This Purchase Order is valid for acceptance until July 12, 2025. Failure to sign and return by this date shall render this document null and void.
