Pursuant to this Purchase Order, the contracted Videographer shall deliver a comprehensive suite of professional video production services for Chimanimani Media & Productions (Pvt) Ltd. All filming, post-production, and delivery activities shall be conducted primarily within Zimbabwe Harare, with the possibility of limited travel to the surrounding Harare East and Harare West suburbs as required by the production schedule. The Videographer is expected to bring all necessary equipment, including but not limited to 4K cinema cameras, professional audio recording kits, lighting rigs, stabilisation gimbals, and editing workstations, unless otherwise specified in the line items below.

The Videographer shall adhere to all applicable laws and regulations of the Republic of Zimbabwe, including the Broadcasting Authority of Zimbabwe (BAZ) guidelines where applicable, and shall obtain any necessary permits for filming in public spaces within Zimbabwe Harare. The Videographer is further required to carry valid professional indemnity insurance with a minimum cover of USD 250,000 for the duration of the engagement.

The Videographer shall adhere to the following timeline as stipulated in this Purchase Order. All dates are subject to confirmation by the client's project manager. Filming locations are within Zimbabwe Harare unless otherwise noted in writing.

• Payment: A 50% advance payment (USD 9,228.75) is due within 5 business days of acceptance of this Purchase Order. The remaining 50% (USD 9,228.75) shall be payable within 10 business days of final delivery and written acceptance of all deliverables by the client.
• Intellectual Property: Upon full and final payment, all rights, title, and interest in the finished video content, including all raw footage, edit projects, and associated media, shall vest exclusively in Chimanimani Media & Productions (Pvt) Ltd. The Videographer retains the right to display the work in a professional portfolio for a period of 12 months, subject to the client's written consent.
• Revisions: The Videographer shall include two (2) rounds of revisions in the post-production fee. Additional revisions shall be billed at USD 350 per hour.
• Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to government-imposed restrictions in Zimbabwe, severe weather affecting filming in Harare, or power outages (load-shedding) that materially disrupt production.
• Compliance: The Videographer warrants that all personnel engaged under this Purchase Order are legally permitted to work in Zimbabwe and that all equipment is in compliance with Zimbabwean customs and import regulations.
• Confidentiality: The Videographer shall treat all client information, trade secrets, and unpublished content as strictly confidential. This obligation survives the termination of this Purchase Order for a period of 3 years.
• Termination: Either party may terminate this Purchase Order with 7 days' written notice. In the event of early termination by the client, the Videographer shall be compensated for all work completed and non-cancellable expenses incurred up to the date of termination.
• Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of Zimbabwe. Any disputes shall be subject to the exclusive jurisdiction of the courts in Harare, Zimbabwe.
