- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Democratic Republic of Algeria, including the Algerian Commercial Code and applicable digital commerce regulations. Any disputes arising from this Purchase Order shall be resolved by the competent courts in Algiers, Algeria.
- Scope of Web Designer Services: The Web Designer (Atlas Creative Web Studio) shall perform all design, development, and integration tasks as specified in the line items above. All deliverables must be completed in both Arabic (right-to-left) and French (left-to-right) to serve the dual-language market of Algeria Algiers and the national audience.
- Payment Schedule: Payment shall be made in three installments: 30% upon acceptance of this Purchase Order, 40% upon completion of front-end and back-end development (Item 2 & 3), and 30% upon final delivery and acceptance of all deliverables. All payments shall be made via bank transfer to the seller's account in Algiers, Algeria.
- Intellectual Property: Upon full payment, all intellectual property rights, source code, design assets, and documentation created by the Web Designer shall be transferred exclusively to the Buyer. The Web Designer retains the right to display the completed project in their professional portfolio with prior written consent from the Buyer.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all business information, client data, and proprietary systems shared during the execution of this Purchase Order. This obligation survives the termination of the contract for a period of three (3) years.
- Delivery & Acceptance: All deliverables shall be submitted to the Buyer's office in Algiers, Algeria, or via secure digital transfer. The Buyer shall have ten (10) business days to review and accept or reject each deliverable. Rejection must be accompanied by a written list of specific, actionable corrections.
- Revisions: The Web Designer shall include up to three (3) rounds of revisions per deliverable at no additional cost. Additional revision cycles beyond the included rounds shall be billed at 15,000 DZD per hour.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond their reasonable control, including but not limited to natural disasters, government-mandated closures, or internet infrastructure failures in Algeria.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, and the Web Designer shall deliver all work-in-progress materials.
- Compliance: The Web Designer warrants that all deliverables shall comply with Algerian data protection laws, the Algerian Consumer Protection Code, and all applicable e-commerce regulations in force in Algeria Algiers at the time of delivery.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for Web Designer services in Algeria Algiers. This document constitutes a binding agreement upon execution by both authorized representatives.
