Payment for this Purchase Order shall be made in Argentine Pesos (ARS) via bank transfer to the account designated by the Web Designer provider. The payment schedule is structured as follows: 30% upon execution of this Purchase Order, 40% upon completion of Milestone 2, and 30% upon final acceptance of the completed website. All invoices shall be issued in compliance with Argentine tax regulations (AFIP) and shall include the applicable IVA (Value Added Tax) of 21%. Late payments shall accrue interest at the rate established by the Central Bank of Argentina.
5. TERMS AND CONDITIONS
5.1 This Purchase Order constitutes a binding agreement between the parties upon signature. All services shall be performed in Argentina Buenos Aires unless otherwise agreed in writing.
5.2 The Web Designer warrants that all deliverables shall be original work, free from intellectual property infringement, and shall comply with all applicable Argentine laws, including the Personal Data Protection Law (Ley 25.326) and consumer protection statutes in force in Buenos Aires.
5.3 The buyer reserves the right to request up to three (3) rounds of revisions per milestone at no additional cost. Revisions beyond this limit shall be billed at the Web Designer's standard hourly rate of ARS 4,500 per hour.
5.4 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination.
5.5 All disputes arising from this Purchase Order shall be resolved through arbitration in Buenos Aires, Argentina, in accordance with the rules of the Argentine Chamber of Commerce. The governing law shall be the civil and commercial law of the Argentine Republic.
5.6 The Web Designer shall maintain professional liability insurance with a minimum coverage of ARS 5,000,000 throughout the duration of the engagement.
