This Purchase Order formally authorizes the procurement of professional Web Designer services rendered by the vendor identified above. This Purchase Order is governed by the commercial laws of the Province of Córdoba, Argentina, and the national Civil and Commercial Code of the Argentine Republic (Ley 26.994). Any dispute arising from this Purchase Order shall be subject to the exclusive jurisdiction of the commercial courts of Córdoba Capital. The Web Designer warrants that all work delivered shall be original, free of intellectual property infringement, and shall not incorporate third-party code without proper licensing.
The Web Designer agrees to maintain professional confidentiality regarding all proprietary information, client data, and business strategies disclosed during the course of this engagement. Breach of confidentiality shall entitle Andes Digital Solutions S.R.L. to seek damages in accordance with Argentine contract law.
Force majeure events, including but not limited to natural disasters affecting the Córdoba region, government-mandated shutdowns, or systemic internet infrastructure failures, shall suspend obligations proportionally without penalty to either party.
Important Note: This Purchase Order is valid only for the Web Designer named herein. Substitution of the service provider requires written amendment signed by both parties. All deliverables must be submitted to the Córdoba office or via the designated project management portal. The Web Designer must issue a valid factura (invoice) compliant with AFIP regulations for each payment milestone.By signing below, both parties acknowledge that this Purchase Order constitutes a binding agreement for the procurement of Web Designer services as described herein. The Web Designer confirms availability to commence work within five (5) business days of the signing date and agrees to all terms stipulated in this document.
