This Purchase Order is issued by Sunshine Coast Digital Solutions Pty Ltd to engage the services of a qualified Web Designer based in Australia Brisbane for the design, development, and deployment of a corporate e-commerce platform. The Web Designer shall deliver all work in accordance with the specifications outlined below and in compliance with Australian web accessibility standards (WCAG 2.1 AA) and the Privacy Act 1988 (Cth).

All deliverables under this Purchase Order shall be completed and delivered to the Buyer's premises at 120 Creek Street, Brisbane, QLD 4000, or via secure digital transfer as agreed. The Web Designer shall adhere to the following milestone schedule:

• Milestone 1 (Week 2): Delivery of approved UX/UI wireframes and design mockups for Buyer review and sign-off.
• Milestone 2 (Week 5): Completion of front-end development and staging environment deployment for Buyer testing.
• Milestone 3 (Week 7): E-commerce integration, payment gateway testing, and SEO implementation completed.
• Milestone 4 (Week 8): Final launch, post-launch support commencement, and on-site training delivery in Brisbane.

• Payment shall be made via electronic funds transfer (EFT) to the Web Designer's nominated Australian bank account.
• 50% of the total Purchase Order value (AUD $31,570.00) is due upon Buyer's written acceptance of Milestone 2 deliverables.
• The remaining 50% (AUD $31,570.00) is due within 14 business days of final project completion and Buyer's written acceptance of all deliverables.
• All amounts are inclusive of 10% Goods and Services Tax (GST) as required by the Australian Taxation Office (ATO).
• Late payments shall attract interest at the rate prescribed under the Australian Consumer Law, calculated daily from the due date until full payment is received.

• This Purchase Order is governed by the laws of the State of Queensland and the Commonwealth of Australia. Any disputes shall be resolved through the Queensland Small Claims Commission or the Federal Circuit and Family Court of Australia, as applicable.
• The Web Designer warrants that all work delivered under this Purchase Order shall be original, free from intellectual property infringement, and shall not breach any third-party rights. The Web Designer shall indemnify the Buyer against any claims arising from IP infringement.
• All source code, design files, and documentation created specifically for the Buyer under this Purchase Order shall become the sole property of the Buyer upon full payment. The Web Designer retains the right to display the completed work in their professional portfolio with the Buyer's written consent.
• The Web Designer shall comply with all applicable Australian data protection and privacy legislation, including the Privacy Act 1988 (Cth) and the Notifiable Data Breaches scheme, when handling any Buyer data during the course of this engagement.
• Either party may terminate this Purchase Order with 14 days' written notice if the other party commits a material breach that remains uncured after 7 days of written notice. Upon termination, the Buyer shall pay for all services rendered up to the date of termination.
• The Web Designer shall maintain professional indemnity insurance with a minimum coverage of AUD $5,000,000 and public liability insurance of AUD $10,000,000 throughout the duration of this Purchase Order.
• All communications, revisions, and approvals relating to this Purchase Order shall be conducted in English and documented in writing (including email) to form part of the contractual record.
